10.1.7 The appointment of a receiver to take possession of substantially all of <br /> Lessee's assets or the Regional Center, if such receivership has not been dissolved within sixty <br /> (60) days after creation thereof; or <br /> 10.1.8 The attachment, execution or other judicial seizure of all or <br /> substantially all of Lessee's assets or the Regional Center, if such attachment or other seizure has <br /> not been dismissed or discharged within sixty(60) days after the levy thereof; or <br /> 10.1.9 The admission by Lessee in writing of its inability to pay its debts as <br /> they become due, the filing by Lessee of a petition seeking any reorganization, arrangement, <br /> composition, readjustment, liquidation, dissolution or similar relief under any present or future <br /> statute, law or regulation, the filing by Lessee of an answer admitting or failing timely to contest <br /> a material allegation of a petition filed against Lessee in any such proceeding or, if within sixty <br /> (60) days after the commencement of any proceeding against Lessee seeking any reorganization, <br /> or arrangement, composition, readjustment, liquidation, dissolution or similar relief under any <br /> present or future statute, law or regulation, such proceeding shall not have been dismissed; or <br /> 10.1.10 Lessee has no Cash Flow after Permitted Debt Service for a period of <br /> one year after the year beginning January 1, 2006; or <br /> 10.1.11 Lessee's default under the Interlocal Agreement for Financing. <br /> Section 10.2 Lessor Remedies for Lessee Default. In any event of default hereunder, <br /> Lessor may at any time thereafter prior to the curing thereof and without waiving any other rights <br /> hereunder, in addition to any other remedy which Lessor may have hereunder or by law or equity <br /> either cumulatively or in the alternative, do one or more of the following: <br /> 10.2.1 The Lessor may elect to exercise joint operational control of the <br /> Regional Center with the Lessee until such time as all defaults have been cured and any money <br /> paid by the Lessor, including any payments associated with the assumption of operational control <br /> of the Regional Center are fully repaid together with any costs and expenses, including <br /> attorneys' fees, with interest thereon at the Applicable Rate, and the Lessor has received <br /> financial and operational assurances that such default will likely not reoccur. If the Lessor elects <br /> to exercise joint operational control of the Regional Center, the Lessor may require the Lessee to <br /> take one or more of the following actions, including but not limited to: <br /> (a) Replacing the professional management firm or manager having <br /> responsibility for the overall management and operation of the Regional Center on behalf of the <br /> Lessee; <br /> (b) Retaining and directing an independent,professional consultant <br /> experienced in the management and operation of events centers similar to the Regional Center to <br /> make recommendations as to the revision of the Lessee's business operations and its schedules of <br /> rentals, rates, fees and charges for the use of the Regional Center, and, after receiving such <br /> recommendations, taking all lawful measures to revise the schedule of rentals, rates, fees and <br /> 19 <br /> GROUND LEASE COE--EPFD <br />
