<br />10 <br /> <br />SCHEDULE B <br />to Pet Licensing Services Agreement <br />DOCUPET GENERAL TERMS AND CONDITIONS <br /> <br />1. DEFINITIONS <br /> <br />a. Defined Terms as used in this Agreement: <br /> <br />“Confidential Information ” means all confidential Information (including <br />confidential, proprietary, trade secret, scientific, technical or business know -how <br />or Information of a Party) which is disclosed by or at the direction of one Party to <br />the other Party in connection with this Agreement. <br /> <br />“DocuPet Owned Work ” means any and all materials, information, inventions, <br />methods, procedures, technology, know-how, data and other Intellectual Property <br />Rights owned or developed by DocuPet whether prior to, during or after the Term, <br />including the Website, the Software and all information an d data relating to the <br />Optional Services. <br /> <br />“DocuPet Personnel” means partners, employees and independent contractors of <br />DocuPet and its approved subcontractors assigned to perform the Services <br />pursuant to this Agreement. <br /> <br />“Including ” and its derivatives (such as “include” and “includes”) mean including <br />without limitation. This term is as defined, whether or not capitalized in this <br />Agreement. <br /> <br />“Intellectual Property Rights ” means, on a worldwide basis, any and all: <br /> <br />● Rights associated with works of authorship, including copyrights, moral <br />rights and mask -works; <br />● Marks; <br />● Trade secret rights; <br />● Patents, designs, algorithms and other industrial property rights; <br />● Other intellectual and industrial property rights of every kind and nature, <br />however designated, whether arising by operation of law, contract, or <br />otherwise; and <br />● Registrations, initial applications, renewals, extensions, continuations, <br />divisions or reissues thereof now or hereafter in force (including any rights <br />in any of the foregoing). <br /> <br />“Law” means: <br /> <br />● Any statute, regulation, by-law, ordinance or subordinate legislation in force <br />from time to time to which a Party is subject, including but not limited to <br />data protection and privacy laws; <br />● The common law and the laws of equity as applicable to the Parties from <br />time to time;
