<br /> <br />2.9 RESTRICTIONS ON ADVERTISING CONTENT <br />The Supplier agrees to strictly comply with Everett Transit's restrictions during the term of this contract. <br />Unless otherwise specifically agreed to by the parties in a written amendment to the contract, the <br />Supplier will not be entitled to any additional compensation or to a reduction in the guaranteed amounts <br />owed to the city because of complying with this section. <br />Public complaints received by Everett Transit about any advertisement will be directed to the Supplier for <br />immediate response. The Supplier must copy the Everett Transit Director, Project Manager, and <br />Procurement Professional on all email response communication and resolution within twenty-four (24) <br />hours of the initial complaint. <br />• Advertising reasonably construed by Everett Transit to cause and present danger to Everett Transit or <br />the City of Everett by riot, illegal gathering, undue congestion, or blockage of streets, highways, <br />arterials, and alleys, or which any other way would create a clear and present danger must, upon <br />written request of the Everett Transit Director or appointed representative, be promptly removed by <br />the Supplier. The Supplier will not sell advertising of the following products or services for display on <br />Everett Transit vehicles: <br />o X-rated movies <br />o Adult bookstores <br />o Adult 900 telephone numbers or similar telephone numbers of an adult nature <br />o Adult websites, chat rooms, or other similar internet sites <br />o Adult Entertainment Establishments <br />o Tobacco advertising <br />o Marijuana advertising <br />o Alcoholic beverages <br />o Political advertising <br />o Religious advertising <br />2.10 COMPENSATION <br />A. For purposes of this section, the following terms have been defined as follows: <br />i. Net Revenue: the gross sales less any recognized advertising agency commission. Within twenty <br />(20) days after the end of each calendar month, the Supplier must send to Everett Transit a <br />statement of the gross billings, calculation of net revenue, and collections for such month, <br />including a statement of the size and type of display contracted for by each advertiser and other <br />information as may reasonably be requested by Everett Transit. The Supplier must remit to <br />Everett Transit the proportionate amount of such collections due Everett Transit within twenty <br />(20) days after the end of said month. <br />ii. Gross Billings: all revenue generated from the sale of space on Everett Transit vehicles less any <br />commission, not to exceed the negotiated percentage fee deducted by or paid or payable to <br />advertising agencies or sales representatives other than the Supplier with respect to advertising <br />placed by the Supplier through such agencies or representatives. <br />Exhibit C to Services Agreement
