<br /> <br />On an annual basis, the Supplier must provide Everett Transit: <br />• Total number of advertising contracts over the contract year. <br />• Total number of exterior and interior advertisements. <br />• Total number of advertisements per ad category. <br />• Total advertisement revenue. <br />• Summary of total payments made to Everett Transit. <br />• Average length of trade contract per ad category. <br />• Quantity and general type of advertising content restrictions imposed during the year. <br />• Sales trends, observations, and recommendations. <br />D. The monthly, quarterly, and annual reports must be submitted to Everett Transit after the end of the <br />preceding period. <br />E. Everett Transit reserves the right to perform periodic spot checks of buses and inventory. <br />F. Everett Transit may require the advertising sales company to provide quarterly or semi-annual <br />documentation that posted advertisements are being installed and removed in accordance with the <br />advertising contract dates. <br />2.12 FUTURE FLEET REPLACEMENTS AND EXPANSION <br />Everett Transit retains the right to increase or decrease the fleet size depending on service needs and <br />funding increases or decreases. Everett Transit will notify the selected Supplier of any increases or <br />decreases in fleet size. <br />2.13 EVERETT TRANSIT RESPONSIBILITIES <br />A. Everett Transit will designate an employee as the Project Manager. <br />B. Everett Transit will provide normal maintenance services to keep the ads clean and in good repair and <br />will provide the Supplier with annual reports containing fleet size, passenger counts, and other <br />information reasonably requested by the Supplier for its use in selling advertising space. <br />C. Upon request, Everett Transit will provide the awarded Supplier with monthly ridership figures and <br />information regarding bus distribution. <br />2.14 RECORD KEEPING <br />The Supplier must keep complete and accurate accounting records of its business, billings, and expenses <br />and make those records available for inspection upon request. These records may be examined for public <br />audit by a City of Everett authorized representative or other governmental audit offices to verify monthly, <br />quarterly, and annual statements and payments at any reasonable time throughout the period of the <br />agreement and up to three years following the end of the contract. <br />Exhibit C to Services Agreement
