DECLARATION OF COVENANTS, CONDITIONS <br />AND RESTRICTIONS FOR <br />SIMPSON <br />THIS DECLARATION OF COVENANTS, CONDITIONS AND RESTRICTIONS is <br />made this day of , 2015, by POLYGON WLH, LLC, a <br />Delaware limited liability company ("Declarant"); and CDCG 3 WLH, LP, a Delaware <br />limited partnership ("CDCG"). <br />CDCG is the owner of the real property described in Exhibit A attached hereto <br />and incorporated herein by reference. Polygon WLH, LLC, a Delaware limited liability <br />company ("Polygon WLH") has the right to acquire the. Property from CDCG pursuant to <br />that certain Option Agreement dated August 12, 2014 (the "Option Agreement"), <br />entered into between CDCG, as Owner, and Declarant, as Builder, as evidenced by that <br />certain Memorandum of Option recorded in the official records of Snohomish County, <br />Washington, as Document No. 201408120472, and CDCG intend by this Declaration to <br />(a) impose upon the Property mutually beneficial restrictions under a general .plan of <br />improvement for the benefit of all owners of such property; (b) provide a flexible and <br />reasonable procedure for the overall development of the Property; (c) establish a <br />method for the administration, maintenance, preservation, use and enjoyment of the <br />Property; (d) create easements, covenants, conditions and restrictions to protect the <br />value and desirability of the real property subject to this Declaration; and (e) establish a <br />Homeowners Association, to be known as SIMPSON HOMEOWNERS ASSOCIATION. <br />Declarant and CDCG hereby declare that the Property shall be held, sold, used <br />and conveyed subject to the provisions of this Declaration, which are for the purpose of <br />protecting the value and desirability of and which shall run with title to the Property. <br />This Declaration shall be binding on all parties having any interest in the Property, their <br />heirs, successors and assigns, and shall inure to the benefit of each Owner. <br />ARTICLE 1 <br />DEFINITIONS <br />1.1 "Access and Utility Tracts". Tracts designated in the plat map for the <br />Property as Access and Utility Tracts shall be shared by Lots abutting such tracts for <br />vehicular and pedestrian ingress and egress. <br />1.2 "Areas of Common Responsibility". The Common Area and other areas, if <br />any, which become the responsibility of the Association, generally including but not <br />limited to, planting and landscaping strips, entry monuments located at the entrance <br />providing access to the Property, the 'sidewalks providing access throughout the <br />DECLARATION OF SIMPSON <br />F:\M13S\Polygon\Simpson Project\Dec CCRs cln4.docx 4/13/2015 @9 #214264.013 <br />
