CITY OF EVERETT SPECIAL PROVISIONS <br />LS47-Beverly Lake Sewer Replacement Division 1 – GENERAL REQUIREMENTS January 30, 2025 <br />WO No – UP3529 SP – 40 <br />Contract Documents: All of the items that together make up the complete Contract. <br />See definition for “Contract.” <br />Contract Execution Date: The date the Mayor of the City of Everett signs the Contract <br />or the date that the Contractor signs the Contract, whichever date is later. This officially <br />binds the Contractor to the Contract. <br />Contract Sum: The price in dollars stated in the Contract to be paid by the City to the <br />Contractor for the Work described in the Contract Documents, as modified by Change <br />Orders. <br />Contract Time: The period of time established by the terms and conditions of the <br />Contract within which the Work must be physically completed. <br />Delay: Any increase in the duration of the critical path of the Project. <br />Dispute: Any controversy or disagreement. <br />Equipment: Mechanical, electrical, instrumentation, or other devices with one or more <br />moving parts, or devices requiring an electrical, pneumatic, electronic, or hydraulic <br />connection. <br />Extended Overhead: The increase in Overhead costs attributable to an extension of <br />Contract Time. <br />Extra Work: Providing materials and Equipment and the performance of Work not <br />directly called for in, or implied by, the Contract Documents, such that Contractor would <br />be entitled to an adjustment of Contract Sum and possibly an extension of Contract <br />Time. <br />Final Acceptance: Formal action by Everett City Council determining that all of the <br />Contractor's Work has been completed, except for any landscaping maintenance. <br />Float: The amount of time between the early start date and the late start date, or the <br />early finish date and the late finish date of an activity in the Project schedule. <br />Force Account: Costs of performing Work as defined in 1-09.6 FORCE ACCOUNT. <br />Furnish: To deliver items, Equipment, or material to the job site or other specified <br />location. <br />Install: Placing, erecting, or constructing complete in place items, Equipment, or <br />material. <br />May: Conduct that is permitted, but not required. <br />Notice: A signed, written communication by the Contractor to the City as described in <br />1-04.5 NOTICE BY CONTRACTOR of these Special Provisions. <br />Notice of Award: The written notice from the City of Everett to the successful Bidder <br />signifying the City’s acceptance of the Bid. No Contract is formed until the Contract <br />Execution Date. <br />Notice to Proceed: The written Notice from the City or City’s Representative to the <br />Contractor authorizing and directing the Contractor to proceed with the Work and <br />establishing the date on which the Contract Time begins. Multiple and partial Notices to <br />Proceed may be issued on a single Project. <br />Over absorbed Overhead: Over recovery of fixed indirect costs that occurs when a <br />Contractor performs more overall Work than it otherwise would have performed. <br />Overhead <br />In general, Overhead for the purpose of calculating additional compensation under this <br />section of the Contract shall include only those costs that are expended for the <br />administration of the business as a whole. Such costs usually accrue or are incurred
