(for example, a Subcontractor cannot <br />claim a Fee on the Fee of its Sub -subcontractor). <br />If a change in the Work involves both additive and deductive items, the appropriate Fee allowed will be <br />added to the net difference of the items. If the net difference is negative, no Fee will be added to the <br />negative figure as a further deduction. <br />ARTICLE 8 <br />TIME <br />8.1 DEFINITIONS <br />8.1.1 Unless otherwise provided, the Contract Time is the period of time allotted in the Contract <br />Documents from notice to Proceed to date of Substantial Completion of the Work as defined in <br />subparagraph 8.1.3. The only adjustments thereto are by Change Order. <br />8.1.2 The date of commencement of the Work is the date established in the Agreement unless otherwise <br />provided by written Notice to Proceed. The date shall not be postponed by the failure to act of the <br />Contractor or of persons or entities for whom the Contractor is responsible. <br />8.1.3 The date of Substantial Completion is the date certified by the Architect in accordance with <br />Paragraph 9.8 <br />8.1.4 The term "day" as used in the Contract Documents shall mean calendar day unless otherwise <br />specifically defined. <br />8.2 PROGRESS AND COMPLETION <br />8.2.1 Within ten (10) days of Owner's written notification to the Contractor of its Conditional Notice <br />to Proceed, the Contractor shall submit an executed contract, surety bond, preliminary progress schedule, <br />certificates of insurance, any documents required by state or local authorities, and all other documents <br />required by the Contract. Failure to make such a submission shall constitute a material breach of the <br />conditions of the bid and bid bond; and, at Owner's sole discretion, Owner may void the bid award and <br />forfeit contractor's bid bond. <br />8.2.2 Time is of the essence for commencement and completion of the Work. The Owner is relying <br />materially on a specific construction period and will suffer serious direct, indirect and consequential <br />damages should the established dates not be met. The Contractor shall promptly start the Work as soon <br />as possible after the date of the Notice to Proceed and shall prosecute the Work so that the various <br />portions of the Work shall be complete in accordance with any intermediate and final completion date(s) <br />set forth in the Contract Documents and the Contractor's schedule. During periods when weather or <br />other conditions are unfavorable for construction, the Contractor shall pursue only such portions of the <br />Work as will not be damaged thereby; no portions of the Work shall be constructed while those <br />conditions exist if acceptable quality or efficiency will be adversely affected. It is expressly understood _ <br />and agreed by and between the Contractor and the Owner that the Contract Time for completion of the <br />Work described herein is a reasonable time taking into consideration the weather conditions and other <br />factors prevailing in the locality of the Work. <br />mcg-ARC 2120.000 February 28, 2023 <br />
