<br />Exhibit A (Scope of Work) <br />EXHIBIT A <br />PROFESSIONAL SERVICES AGREEMENT <br />(SCOPE OF WORK) <br /> <br />Item 101: Project Management and Coordination <br />Kimley-Horn (KH) will provide project management activities to maintain the project <br />schedule and budget for the Acquisition and Relocation tasks. The project manager will plan <br />and monitor the completion of scope items. The project manager will monitor budget <br />expenditures and review/process monthly invoices with sufficient detail to document <br />progress and budget status. Kimley-Horn will perform quality control checks and document <br />reviews of all deliverables. <br />Assumptions: <br />• Meetings will occur in-person at the jurisdictions’ office or at Kimley-Horn offices in <br />Everett, WA, or virtual at the direction of the City. Estimate staff hours assume <br />attendance by project manager and acquisition and/or relocation task leads. <br />• The City and their legal representatives to determine the project reporting format <br />to be used for active negotiation status to protect non-disclosable negotiation <br />details. <br />• Kimley-Horn will be responsible for monitoring all sub-consultant activities and <br />deliverables. <br />Deliverables: <br />• Invoices – Electronic (PDF) <br /> <br />Item 102: Acquisition <br />Kimley-Horn will perform steps necessary to negotiate with property owners, on behalf of the <br />City, to acquire real property needed for the Outdoor Event Center project. Kimley-Horn will <br />take the lead coordinating with escrow company, facilitating real property closings and title <br />transfers to the City. <br />Assumptions: <br />• KH - Title analysis – Review preliminary title reports provided by outside counsel. <br />Prepare list of title exceptions to be cleared to acquire real property. <br />• City or outside counsel to make final determination on acceptable title encumbrances. <br />• KH – Will work with City and design team to determine the property interests needed <br />to build, operate, and maintain the project. <br />• KH – Will attend and facilitate public meetings, stakeholder outreach and any City <br />Council presentations that may be required for additional authorization of the <br />acquisition and relocation activities for the Outdoor Event Center project. <br />• KH – Will obtain additional rights of entry required for testing, survey and permitting
