Any supplementing of 1 <br />regular dealers’ own distribution equipment shall be by long-term formal lease 2 <br />agreements and not on an ad-hoc basis. Brokers, packagers, manufacturers’ 3 <br />representatives, or other persons who arrange or expedite transactions shall not 4 <br />be regarded as Regular Dealers within the meaning of this definition. 5 <br /> 6 <br />Distributor, DBE –An established DBE firm that engages in the regular sale or 7 <br />lease of the items specified by the contract. A DBE Distributor assumes 8 <br />responsibility for the items it purchases once they leave the point of origin, 9 <br />making it liable for any loss or damage not covered by the carrier’s insurance. 10 <br />The Distributor must demonstrate ownership of the items in question and assure 11 <br />all risk for loss or damage during transportation, evidenced by the terms of the 12 <br />purchase order or bill of lading from a third party, indicating Free on Board (FOB) 13 <br />at the point of origin or similar terms that transfer responsibility of the items in 14 <br />question to the DBE distributors. 15 <br /> 16 <br />Transaction Facilitator, DBE – A DBE firm (packagers, brokers, manufacturer’s 17 <br />representatives, etc.) who provides a bona fide service arranging, facilitating, or 18 <br />expediting transactions but does not qualify as a Manufacturer, a Regular 19 <br />Dealer, or a Distributor 20 <br /> 21 <br />DBE COA Goal 22 <br />The Contracting Agency has established a DBE COA Goal for this Contract in the amount 23 <br />of: *** 15% *** which applies to the final Contract amount. 24 <br /> 25 <br />If the Contractor cannot meet the DBE COA Goal, GFE Documentation is required. 26 <br /> 27 <br />Demonstrating compliance with the DBE COA Goal is a Condition of Award of this 28 <br />Contract. 29 <br /> 30 <br />Procedures Prior to Award 31 <br />Approval of Regular Dealer and Distributors 32 <br />DBE firms proposed to be used as either a Regular Dealer or a Distributor must be 33 <br />approved before being listed as a COA/used on a project. The Approved Regular 34 <br />Dealer list published on WSDOT’s Office of Equity and Civil Rights (OECR) web site 35 <br />must include the specific project for which approval is being requested. For purposes 36 <br />of the DBE COA Goal participation, the Regular Dealer/Distributor must submit the 37 <br />DBE Regular Dealer/Distributor Affirmation Form (USDOT OMB Control 508v3)a 38 <br />minimum of five calendar days prior to bid opening. The DBE Regular 39 <br />Dealer/Distributor Affirmation Form is located at: 40 <br />https://www.transportation.gov/mission/civil-rights/dbe-regular-dealer-distributor-41 <br />affirmation 42 <br /> 43 <br />Requests to be listed as a Regular Dealer/Distributor will only be processed if the 44 <br />requesting firm is a material supplier certified by the Office of Minority and Women’s 45 <br />Business Enterprises in a NAICS code that falls within the 42XXXX NAICS 46 <br />Wholesale code section. 47 <br /> 48 <br />Disadvantaged Business Enterprise Utilization 49 <br />To be eligible for award of the Contract, the Bidder shall properly complete and 50 <br />submit a Disadvantaged Business Enterprise (DBE) Utilization Certification with the 51 <br />Bidder’s sealed Bid Proposal, as specified in Section 1-02.9 Delivery of Proposal. 52
