(“Tenant”) dated November 9, 2012 and <br />attached in Attachment A hereto, as amended, supplemented and/or modified by <br />the amendments, modifications, side letters, guaranties, letters of credit and <br />other documents also attached hereto in Attachment A (as so amended, <br />supplemented and/or modified, the “Lease”) at the property known as 3310 Paine <br />Avenue, Everett, Washington (the “Property”) <br />Dear Mr. McKee: <br />The City of Everett (“Purchaser”) is purchasing the Property. Tenant hereby certifies to Landlord <br />and Purchaser that: <br />(a) Tenant is the present tenant under the Lease. <br />(b) The Lease has commenced pursuant to its terms and is in full force and effect. Tenant <br />has not given Landlord any notice of termination under the Lease. Landlord has not given <br />Tenant any notice of termination under the Lease. <br />(c) A true and correct copy of the Lease is attached as Attachment A hereto. There are no <br />amendments, supplements or modifications of any kind to the Lease except as contained <br />in Attachment A attached hereto. The Lease represents the entire agreement between <br />Tenant and Landlord with respect to the leasing and occupancy of the premises leased <br />under the Lease (the “Leased Premises”); there are no other promises, agreements, <br />understandings, or commitments of any kind between Landlord and Tenant with respect <br />thereto. <br />(d) There has not been and is now no subletting of the Leased Premises, or any part thereof, <br />or assignment by Tenant of the Lease, or any rights therein, to any party.
