CONFIDENTIALITY <br />All information relating to the CITY and the scope of services, which is not otherwise a <br />matter of public record or required by law to be made public, is confidential, and the <br />consultant will not, in whole or in part, now or anytime, disclose information without <br />express consent of the CITY. <br />PERSONNEL <br />None of the work or services covered by the agreement shall be subcontracted without <br />prior written approval of the CITY, which shall have the right to assess the experience <br />and qualifications of any subcontractors prior to approval. <br />TERMINATION <br />Either party upon giving fifteen (15) days advance written notice may terminate this <br />agreement without cause. The parties agree that following termination, all debts, and <br />obligations due to either party will be paid within ten business days of the notice of <br />termination. <br />NOTICES <br />This Agreement, together with the Attachment A: Scope of Services, represents the full <br />and complete terms of this agreement. No other document provides terms for this <br />Agreement or is incorporated by reference, with the exception of addendums as <br />described herein. <br />Failure to enforce any provision(s) in this agreement does not constitute a waiver of that <br />provision or any other. This agreement shall be given effect and construed by the <br />application of the law of the State of Washington (without regard to the principles <br />thereof governing conflicts of laws) and any action or processing arising thereunder <br />shall be brought in the courts of Washington. <br />IN WITNESS WHEREOF, the parties hereto have caused this agreement to be fully <br />executed. <br />Michael E.
