Category 2: Sensitive information <br />4.7 Licensee's Breach: <br />(a) Licensor may terminate this Agreement upon thirty (30) days' prior written notice to <br />Licensee if Licensee fails to pay any fees by the tenth (10'h) day of the month that it is <br />due. <br />(b) Licensor may terminate this Agreement if Licensee breaches or fails to perform or <br />observe any of the terms and/or conditions of this Agreement, other than payment of <br />fees, and fails to cure such breach or default within thirty (30) days after written notice <br />from Licensor or such longer period, up to sixty (60) days, as may be reasonably <br />required, within Licensor's reasonable discretion, to complete a cure commenced within <br />the provided cure period and being diligently and continuously pursued by Licensee. <br />4.8 Notice of Termination: Notice of termination shall be provided in accordance with Section 4. <br />4.9 Nonexclusive Remedy: Termination under this Section shall be in addition to and not in <br />limitation of any other remedy of Licensor at law or in equity. Termination shall not release Licensee <br />from any liability or obligation with respect to any matter occurring prior to such termination. <br />5. FEES <br />5.1 ANNUAL FEE <br />The "Annual Fee" shall mean the sum of the annual fees for all Sites as calculated in <br />accordance with the applicable SLAs and the following: <br />(a) The Annual Fee shall be due and payable on the first day of the first month <br />following the anniversary of the Effective Date of this Agreement, unless <br />installment payments are explicitly provided for in the applicable SLA. <br />(b) Unless otherwise explicitly provided for otherwise in the applicable SLA, the initial <br />Annual Fee for each Site will be payable on or before the Commencement Date of <br />the SLA and shall be prorated for that initial year to coincide with the anniversary <br />of the Effective Date of this Agreement; and <br />(c) Should the Licensee fail to remove its Communications Facilities from a Site upon <br />the termination date or term expiration, the Annual Fee for each Site will continue <br />past any termination of the SLA (and shall be prorated) until all of the <br />Communications Facilities are removed from the site and the restoration of the Site <br />has occurred according to this Agreement. <br />5.2 APPLICATION FEE <br />With respect to any Site which Licensee is or may be interested in licensing pursuant to this <br />Agreement, Licensor shall provide, at the request of and at no charge to Licensee, general <br />SNO911 Master License Agreement 2025 Page 5 <br />Category 2: For official use only / disclosure permissible by law. <br />
