to the purchaser at the sale, and the rights and privileges of Grantee under this Franchise shall be <br /> revoked thirty(30)days after service of such notice,unless: <br /> (1) The City has approved the transfer of the Franchise, in accordance with the <br /> procedures set forth in this Franchise and as provided by law; and <br /> (2) The purchaser has covenanted and agreed with the City to assume and be <br /> bound by all of the terms and conditions of this Franchise. <br /> 15.6 Alternative Remedies <br /> No provision of this Franchise shall be deemed to bar the City or the Grantee from seeking <br /> appropriate judicial relief. Neither the existence of other remedies identified in this Franchise nor <br /> the exercise thereof shall be deemed to bar or otherwise limit the right of the City to recover <br /> monetary damages for violations by Grantee, or to seek and obtain judicial enforcement of <br /> Grantee's obligations by means of specific performance, injunctive relief or mandate, or any other <br /> remedy at law or in equity. <br /> 15.7 Assessment of Monetary Damages <br /> Subject to the City's giving written notice to the Grantee and a thirty(30) day right to cure <br /> period, the City may assess against Grantee monetary damages up to one thousand dollars <br /> ($1,000.00) per day for failure to timely complete the Cable System upgrade (including, if <br /> applicable, the Institutional Network) within thirty-six (36) months of the Effective Date, two <br /> hundred fifty dollars ($250.00) per day for material departure from the FCC technical performance <br /> standards, one hundred dollars ($100.00) per day for failure to provide the Access Channels or any <br /> equipment related thereto which is required hereunder, one hundred dollars ($100.00) per day for <br /> each material violation of the Customer Service Standards, fifty dollars ($50.00)per day for failure <br /> to provide reports or notices as required by this Franchise, and up to one hundred dollars ($100.00) <br /> per day for any other material breaches or defaults. <br /> 15.8 Abandonment <br /> (A) Definitions <br /> The City may deem Grantee to have abandoned the Cable System temporarily if the Grantee <br /> willfully fails to provide Cable Service over a substantial portion of the Franchise Area for three (3) <br /> consecutive days. The City may deem Grantee to have abandoned the Cable System permanently if <br /> Grantee discontinues using the Cable System for at least one(1)year. <br /> Page 52 of 58 <br />
