(B) Effect <br /> If the Grantee temporarily abandons its Cable System at any time during the Franchise term, the <br /> City, at its option, may: (1) operate the Cable System; (2) designate another entity to operate the <br /> Cable System temporarily until the Grantee restores service under conditions acceptable to the City <br /> or until the Franchise is revoked and a new Cable Operator is selected by the City; or(3) obtain an <br /> injunction requiring the Grantee to continue operations. If the City is required to operate or <br /> designate another entity to operate the Cable System, the Grantee shall reimburse the City or its <br /> designee for all reasonable costs, expenses and damages incurred. If Grantee permanently abandons <br /> Cable System facilities, then, at the City's sole discretion, such facilities may become the property <br /> of the City. <br /> SECTION 16. FRANCHISE RENEWAL AND TRANSFER <br /> 16.1 Renewal <br /> (A) The City and Grantee agree that any proceedings undertaken by the City that relate <br /> to the renewal of the Franchise shall be governed by and comply with the provisions of Section 626 <br /> of the Cable Act, unless the procedures and substantive protections set forth therein shall be <br /> deemed to be preempted and superseded by the provisions of any subsequent provision of federal or <br /> State law. <br /> (B) In addition to the procedures set forth in said Section 626(a), the City agrees to <br /> notify Grantee of the completion of its assessments regarding the identification of future cable- <br /> related community needs and interests, as well as the past performance of Grantee under the then <br /> current Franchise term. Notwithstanding anything to the contrary set forth herein, Grantee and the <br /> City agree that at any time during the term of the then current Franchise, while affording the public <br /> adequate notice and opportunity for comment, the City and Grantee may agree to undertake and <br /> finalize negotiations regarding renewal of the then current Franchise and the City may grant a <br /> renewal thereof. Grantee and the City consider the terms set forth in this subsection to be consistent <br /> with the express provisions of Section 626 of the Cable Act. <br /> 16.2 Transfer of Ownership or Control <br /> (A) The Cable System and this Franchise shall not be sold, assigned, transferred, leased <br /> or disposed of, either in whole or in part, either by involuntary sale or by voluntary sale, merger or <br /> consolidation; nor shall title thereto, either legal or equitable, or any right, interest or property <br /> therein pass to or vest in any Person or entity without the prior written consent of the City, which <br /> consent shall not be unreasonably withheld. <br /> (B) The Grantee shall promptly notify the City of any actual or proposed change in, or <br /> transfer of, or acquisition by any other party of control of the Grantee. The word "control" as used <br /> herein is not limited to majority stock ownership but includes actual working control in whatever <br /> manner exercised. Every change, transfer or acquisition of control of the Grantee shall make this <br /> Franchise subject to cancellation unless and until the City shall have consented in writing thereto. <br /> Page 53 of 58 <br />
