I 1 employees, harmless from any and all loss, defense cost, and expenses and against any I 2 and all demands made for such fees or Claims brought or made by the holder of any 3 invention or patent. Before final payment is made on the account of this Contract, the 4 Contractor shall, if requested by the Owner, furnish acceptable proof of a proper release I 5 from all such fees or Claims. 6 7 1-09.15 Miscellaneous I 8 9 1-09.15(1) Construction 10 11 Contractor acknowledges that it has read the Contract Documents, understands them 12 and agrees to be bound by them. 13 14 1-09.15(2) Applicable Law and Choice of Forum I 15 16 This Contract and the parties' obligations hereunder shall be governed, construed, and 17 enforced in accordance with the laws of the State of Washington. The parties agree that 18 Snohomish County Superior Court, in the State of Washington, shall be the proper forum 19 for any action. 20 I 21 1-09.15(3) Severability 22 23 In the event that any provision of the Contract Documents is held invalid, void, illegal or I 24 unenforceable, the remainder of the Contract Documents shall not be impaired or 25 affected thereby, and each term, provision, and part shall continue in full force and 26 effect. 27 I28 1-09.15(4) Headings for Convenience. 29 30 The section and subsection headings used herein are for referral and convenience only, I 31 and shall not be used to construe or interpret the Contract Documents. 32 33 1-09.15(5) Waiver I 34 35 No waiver of one right or remedy shall act as a waiver of any other right or remedy or as 36 a subsequent waiver of the same right or remedy. The waiver by either party of any I 37 term or condition of this Contract shall not be deemed to constitute a continuing waiver 38 thereof nor of any further or additional right that such party may hold under this Contract. 39 40 1-09.15(6) City of Everett Business License I41 42 Contractor agrees to obtain a City of Everett business license prior to performing any 43 work pursuant to this Agreement. I 44 45 1-09.15(7) Compliance with Federal, State and Local Laws 46 I 47 48 Contractor shall comply with and obey all federal, state and local laws, regulations, and ordinances applicable to the operation of its business and to its performance of work 49 hereunder. If, and to the extent, this Contract receives financial assistance from federal, I 50 51 state or private agencies, Contractor shall comply with all terms and conditions prescribed for third party contracts in the grant and all said terms and conditions shall be 52 deemed incorporated in the Contract Documents.
