I <br /> 1 <br /> 2 Title VI Assurance <br /> 3 a. The Contractor, with regard to the work performed during the contract, shall not <br /> 4 discriminate on the grounds of race, color, sex or national origin in the selection and <br /> 5 retention of subcontractors, including procurement of materials and leases of equipment. <br /> 111 <br /> 6 The Contractor shall not participate either directly or indirectly in such discrimination, <br /> 7 including discrimination in employment practices. <br /> 8 b. In all solicitations either by competitive bidding or negotiations made by the contractor <br /> 9 for work to be performed under a subcontract, including procurement of materials or <br /> 10 leases of equipment, each potential subcontractor or suppler shall be notified by the <br /> 11 Contractor of the Contractor's obligations under this Contract. I <br /> 12 c. The Contractor shall provide all information and reports required by federal regulations <br /> 13 applicable to this Contract. The Contractor shall permit access to its books, records, <br /> 14 accounts, other sources of information, and its facilities as may be determined by the I <br /> 15 City to be pertinent to ascertain compliance with applicable federal regulations. Where <br /> 16 any information required of a Contractor is in the exclusive possession of another who <br /> 17 fails or refuses to furnish this information, the Contractor shall so certify to the City, and <br /> 18 shall set forth what efforts it has made to obtain the information. <br /> 19 d. In the event of the Contractor's noncompliance with the nondiscrimination provisions of <br /> 20 this Contract, the City shall impose such contract sanctions as it, or the City's funding <br /> 111 <br /> 21 agencies, may determine to be appropriate, including, but not limited to: (a) withholding <br /> 22 of payments to the Contractor until the Contractor complies, and/or (b) termination or <br /> 23 suspension of the contract, in whole or in part. <br /> 24 e. The Contractor shall include the provisions of paragraphs (a) through (e) in every <br /> 25 subcontract, including contracts for procurement and leases of equipment, unless <br /> 26 exempt by applicable federal regulations or directives issued pursuant thereto. The <br /> I <br /> 27 Contractor shall take such action, including sanctions for noncompliance, with respect to <br /> 28 any subcontractor as the City or relevant federal agency may direct so as to enforce <br /> 29 such provisions. Provided, however, in the event a Contractor becomes involved in, or is <br /> 30 threatened with, litigation with a subcontractor or supplier as a result of the foregoing <br /> 31 direction, the Contractor may request that the City or the United States to enter into such <br /> 32 litigation to protect their respective interests. <br /> 33 <br /> 34 1-09.15(8) Complete Agreement <br /> 35 <br /> 36 These Contract Documents contain the complete and integrated understanding and Agreement ' <br /> 37 between the parties and supersedes any understanding, agreement or negotiation, whether oral <br /> 38 or written, not set forth herein. <br /> 39 <br /> 40 1-09.15(9) Successors Bound <br /> 41 <br /> 42 The grants, covenants, provisions and claims, rights, powers, privileges and liabilities contained <br /> 43 in the Contract Documents shall be read and held as made by and with, and granted to and <br /> 44 imposed upon, the Contractor and the Owner and their respective heirs, executors, <br /> 45 administrators, successors and assigns. <br /> 46 II47 1-09.15(10) Effective Date <br /> 48 <br /> 49 When duly executed by both the City and Contractor, this Agreement shall be effective as of the <br /> 50 date the Contract(section 00500) is signed by the Mayor of the City of Everett. <br /> 51 <br /> 52 1-09.15(11) Contractor Registration <br /> 53 <br /> I <br /> RIVERFRONT DEVELOPMENT NORTH WETLAND COMPLEX 94 <br />
