I 1 Contract Sum: The price in dollars stated in the Contract to be paid by the Owner to 2 the Contractor for the Work described in the Contract Documents, as modified by any 3 Change Orders. 4 Delay: Any increase of the duration of the critical path of the Project. 5 Dispute: Any controversy or disagreement. 6 Engineer Any and all provisions in the Contract Documents that state the Engineer 7 "shall" or"will" shall be deemed to mean that the Engineer shall or will take such action if 8 requested in writing by the Contractor. 9 Equipment: Mechanical, electrical, instrumentation, or other devices with one or more 10 moving parts, or devices requiring an electrical, pneumatic, electronic, or hydraulic 11 connection. 12 Extended Overhead: The increase in Overhead costs attributable to an extension of 13 Contract Time. 14 Extra Work: Providing materials and Equipment and the performance of work not 15 directly called for in, or implied by, the Contract Documents, such that Contractor would 16 be entitled to an adjustment of Contract Sum and possibly an extension of Contract 17 Time. 18 Final Acceptance: Formal action by Everett City Council determining that all of the I 19 Contractor's Work has been completed, except for any landscaping maintenance. 20 Float: The amount of time between the early start date and the late start date, or the 21 early finish date and the late finish date of any activity in the project schedule. 22 Force Account: Costs of performing Work as defined in section 1-09.6 Force Account 23 Furnish: To deliver to the job site or other specified location any item, Equipment, or I 24 material. 25 Install: Placing, erecting, or constructing complete in place any item, Equipment, or 26 material. 27 May: Conduct that is permitted, but not required. 28 Notice: A signed, written communication by the Contractor to the Owner as described III 29 in section 1-04.5 Notice by Contractor. 30 Notice of Award: The written notice from the City of Everett to the successful bidder 31 signifying the City's acceptance of the bid. 111 32 Notice to Proceed: The written Notice from the Owner or Owner's Representative to 33 the Contractor authorizing and directing the Contractor to proceed with the Work and 34 establishing the date on which the Contract Time begins. Multiple and partial Notices to 35 Proceed may be issued on a single Project. 36 Over absorbed Overhead: Over recovery of fixed indirect costs that occurs when a t 37 contractor performs more overall Work than it otherwise would have performed. 38 Overhead 39 In general, Overhead for the purpose of calculating additional compensation under this 40 section of the Contract shall include only those costs that are expended for the 41 administration of the business as a whole.
