CITY <br /> PROFIT SHARING AGREEMENT <br /> This Sales Agreement is(the"Agreement")made as of June 16,2016 by and between Thrift Books <br /> GIobal,a Washington limited liability company("Book Seller")and Everett Public Library("Supplier"). <br /> A. Whereas, Book Seller offers Internet-based sales of used materials (including books and <br /> audio visual materials in most formats,collectively the"Materials")("Services");and <br /> The parties therefore agree as follows: <br /> 1. Shipments of Materials to Book Seller. <br /> (a) Supplier shall ship to Book Seller Materials that are surpluses from the Supplier.All such <br /> Materials shall be shipped by Supplier to Book Seller's warehouse. If the Supplier sends <br /> 12 or more boxes of Materials, the cost for shipping such Materials shall will be split <br /> 50%150%between Supplier and Book Seller(50% - Everett Public Library, 50%-Thrift <br /> Books Global) and paid out of Supplier's net sales proceeds. If shipping costs outweigh <br /> proceeds, Supplier will not be billed directly <br /> (b) All Materials shipped to Book Seller shall be of merchantable quality. Unless specifically <br /> requested otherwise by Supplier,Book Seller shall dispose of all Materials sent by Supplier <br /> which, in the sole reasonable judgment of Book Seller, are not of merchantable quality <br /> ("Non-Saleable Materials"). If Supplier specifically requests that Book Seller not dispose <br /> of Non-Saleable Materials, Supplier shall be responsible for the costs incurred in shipping <br /> such Non-Saleable Materials back to Supplier. <br /> (c) In the event Supplier requests that Book Seller return any item(s),Supplier shall pay costs <br /> associated with the return of such materials. <br /> 2. Title and Risk of Loss. At all times during which the Materials are in the possession or <br /> control of Book Seller pursuant to this Agreement,the title and risk of loss of the Materials shall remain <br /> solely with the Supplier. Book Seller acknowledges that it has no rights to the Materials are conveyed to <br /> it. This Agreement is a bailment contract and no claim of any kind against Book Seller, whether or not <br /> based on negligence, shall be greater in amount than the value of the Materials in the possession of Book <br /> Seller and neither party shall be liable for special,consequential or indirect damages whether or not caused <br /> by or resulting from the negligence of such party. <br /> 3. Sale of Materials by Book Seller. <br /> (a) Upon receipt of Materials at its warehouse,Book Seller shall prepare and enter an inventory <br /> of all such Materials into a database.Book Seller shall upload saleable inventory to online <br /> sites within five weeks of receipt of Materials. Once entered onto the database, all <br /> Materials shall be offered for sale by Book Seller on Amazon.com and other appropriate <br /> online sites,including www.thriftbooks.com and shall be available for sale seven days per <br /> week. <br /> (b) Book Seller shall be responsible for setting the sales price for all Materials that are sold, <br /> monitoring sales activity, and adjusting the sales price where necessary, in its sole <br /> A-1 <br /> 1 <br />
