discretion, in order to sell the Materials. Supplier shall have no right to give or withhold its consent to any sale once the Materials have been sent to Book Seller. (c) Book Seller shall ship the item(s)to customers within two business days of the order,at its own expense. Book Seller shall choose the method of shipment (domestic and/or international) it deems appropriate which will yield delivery in a timely manner. Book Seller shall provide email confirmation to customer upon shipment. Book Seller shall handle all return receipts,inventory reprocessing,customer communications,and refunds. 4. Payment Terms. (a) The net sale proceeds on Materials sold by Book Seller shall equal the gross sale price for the item less(i)taxes,(ii)online sales fees charged to Book Seller by the marketplace web sites(such as Amazon.com),(iii)refunds to customers and(iv)shipping charges if the web site selling the Materials is a"free shipping"website. When an item is sold by Book Seller, the net sale proceeds on all Materials will be split 50%/50% between Supplier and Book Seller(50%-Everett Public Library,50%-Thrift Books Global). (b) Book Seller shall provide Supplier with payment within 30 days after end of monthly sales period unless the amount is less than$25. If the amount is less than$25,Book Seller shall wait until the accumulated amount exceeds$25 and then tender payment to the Supplier. (c) Book Seller shall provide Supplier a monthly report showing for the prior month the number of items sold, average sales price per item, total sales receipts, number of items uploaded,number of items rejected,ending inventory,and sales distribution by price point. (d) If any Material is not sold within two months from the time Book Seller lists it,and if Book Seller, in its sole discretion,determines at or after that time that it will not be able to sell the item, Book Seller will dispose of the item or return it to Supplier at Supplier's prior request and at Supplier's cost. All costs of disposal will be paid by Book Seller and any benefits of disposal will inure to the benefit of Book Seller. 5. Term. (a) This Agreement shall remain in effect for a period of one year unless terminated as follows: (i) Either partymayterminate this Agreement with thirty(30)days'notice. (ii) This Agreement will automatically renew at the end of each year unless cancelled by either party. (b) If the contract is not renewed or if a new replacement contract is not established, Book Seller will sell and/or dispose of Materials still in inventory according to the terms of this Agreement. 6. Representations. The parties acknowledge that each is authorized to enter into this Agreement and has obtained all necessary approvals to do so. 7. Relationship. In performing its obligations under this Agreement, Book Seller will act as an independent contractor and not as an agent, employee,joint venture partner or legal representative of Supplier or its Members.
