3.1.6 Ensure that all Customer equipment, systems, or facilities provided by <br /> Customer and used directly or indirectly in the provision of Services is in good working order and suitable <br /> for the purposes for which it is used in relation to the Services and conforms to all relevant legal or industry <br /> standards or requirements; <br /> 3.1.7 Obtain and maintain all necessary licenses and consents and comply with <br /> any relevant statute, law,ordinance, regulation,or other requirement or rule of law (collectively, "Law") <br /> in relation to the Services, in all cases before the date on which the Services are to start;and <br /> 3.1.8 Review and approve all Deliverables for accuracy and completeness, <br /> which approval shall not be unreasonably withheld. <br /> 3.2 Act or Omission of Customer. If SafeTec's performance of its obligations under <br /> this Agreement is prevented or delayed by any act or omission of Customer or its agents, subcontractors, <br /> consultants or employees, SafeTec shall not be deemed in breach of its obligations under this Agreement <br /> or otherwise liable for any costs,charges or losses sustained or incurred by Customer, in each case,to the <br /> extent arising directly or indirectly from such prevention or delay. <br /> 4. Change Orders. <br /> 4.1 Submission. If either party wishes to change the scope or performance of the <br /> Services, it shall submit details of the requested change to the other in writing. SafeTee shall, within a <br /> reasonable time after such request (and, if such request is initiated by Customer, not more than ten(10) <br /> business days after receipt of Customer's written request),provide a written estimate to Customer of: (a)the <br /> likely time required to implement the change;(b)any necessary variations to the fees and other charges for <br /> the Services arising from the change;(c)the likely effect of the change on the Services; and(d)any other <br /> impact the change might have on the performance of this Agreement. <br /> 4,2 Negotiate and Agree. Promptly after receipt of the written estimate,the parties <br /> shall negotiate and agree in writing on the terms of such change(a"Change Order").Neither party shall <br /> be bound by any Change Order unless mutually agreed upon in writing in accordance with Section 18.8 <br /> (Amendments and Waiver). <br /> 5. Fees and Expenses;Payment Terms. <br /> 5.1 Fees and Expenses. In consideration of the provision of the Services by SafeTec <br /> and the rights granted to Customer under this Agreement, Customer shall pay the fees set forth in the <br /> applicable Statement of Work. Payment to SafeTec of such fees and the reimbursement of expenses <br /> pursuant to this Section 5 shall constitute payment in full for the performance of the Services and Customer <br /> shall not be responsible for paying any other fees,costs or expenses. <br /> 5.1.1 Time and Material Basis. Where the Services are provided on a time and <br /> materials basis: (a)the fees payable for the Services shall be calculated in accordance with SafeTec's fee <br /> rates for SafeTec personnel set forth in the applicable Statement of Work; and (b)SafeTec shall issue <br /> invoices to Customer monthly in arrears for its fees for time for the immediately preceding month, <br /> calculated as provided in this Section 5.1.1. <br /> 5.1.2 Fixed Price. Where Services are provided for a fixed price,the total fees <br /> for the Services shall be the amount set out in the applicable Statement of Work.
