Bond Counsel means K&L Gates LLP or another attorney-at-law, or firm of such attorneys, of nationally recognized standing in matters pertaining to the tax-exempt nature of interest on obligations issued by states and their political subdivisions and selected by the City. Bond Fund means the Bond Redemption Fund maintained pursuant to Section 7.02 of this ordinance. Bond Purchase Contract means the contract pursuant to which the Underwriter purchases the Bonds approved by the Designated Representative pursuant to Section 10.01 of this ordinance. Bond Register means the registration books showing the name, address and tax identification number of each Registered Owner of the Bonds, maintained pursuant to Section 149(a) of the Code. Bond Registrar means, initially, the fiscal agent of the State of Washington or such other trustee or fiscal agent appointed by the Designated Representative, for the purposes of registering and authenticating the Bonds, maintaining the Bond Register, effecting transfer of ownership of the Bonds and paying interest on and principal of the Bonds. Bonds means the City of Everett, Washington Limited Tax General Obligation Refunding Bonds, 2014 issued pursuant to this ordinance. Business Day means a day (a) other than a day on which banks in Seattle, Washington, or New York, New York, or the Bond Registrar (or its subcontractor), the Remarketing Agent, or the office of the Credit Facility Issuer or the Liquidity Facility Issuer where draws with respect to the Bonds are to be presented, are closed and (b) on which the New York Stock Exchange is not closed.
