Call Date means November 3, 2014. Chief Financial Officer means the duly qualified, appointed and acting Chief Administrative Assistant-Chief Financial Officer of the City or any other officer who succeeds to the duties now delegated to that office. City means the City of Everett, Washington, a municipal corporation of the State of Washington. City Elective Purchase Date means, with respect to Bonds during a Variable Rate Period, any Business Day designated by the City, and with respect to Bonds during an Index Floating Rate Period, any Par Call Date designated by the City, in each case with the consent of the Liquidity Provider, if any, as described in Section 3.10(g). Closing Date means the date of initial issuance and delivery of the Bonds to the Underwriter. Code means the Internal Revenue Code of 1986, as amended, or any successor statute thereto and any regulations promulgated thereunder. Commission means the United States Securities and Exchange Commission. Computation Date means (a) during each SIFMA Index Rate Period, Wednesday of each week, or if any Wednesday is not a Business Day, the next succeeding Business Day and (b) during each LIBOR Index Rate Period, the second New York Banking Day preceding the applicable LIBOR Index Rate Conversion Date and each LIBOR Index Reset Date. Continuing Disclosure Certificate means any Continuing Disclosure Certificate executed by the City pursuant to Section 10.02 and then in effect.
