EXHIBIT A <br /> PHASE I—Research, First Prototype Development, and Initial Testing and Evaluation <br /> The primary objective of Phase I is to support and achieve the research and development <br /> necessary to produce a set of prototype vehicles for thorough testing. Following the testing, <br /> an evaluation of the results and experiences shall be conducted to determine the appropriate <br /> course of action relative to Phase II. <br /> The undersigned parties ("the Partnership") agree to contribute financial resources and in- <br /> kind staff expertise to achieve the Phase I objective described above and as may be <br /> subsequently established by the Partnership. There are two key elements of the initiative that <br /> require said financial resources: A) Program Administration and Coordination, and B) <br /> Research and Development. <br /> A) Program Administration and Coordination: A preliminary financial contribution for 2008 <br /> shall be made by each member of the Partnership (in accordance with Exhibit 1) to <br /> establish the basic program and budgetary needs, including the initial funding of program <br /> administration and management and the development of project and business plans. <br /> These moneys will be used to fund contract consultant and other professional services <br /> needed to administer the program, establish direction, coordinate key elements, and <br /> perform other support needs as determined by the Partnership. <br /> The "Program Administration and Coordination" funding needs for 2009 and 2010 shall <br /> be evaluated and reviewed by the Partnership, on a timeline conducive to the <br /> development of member agency annual budget processes, and financial assessments <br /> made accordingly. Such financial and other participation shall initially be limited to <br /> Phase I, currently anticipated to go through 2010. <br /> The Partnership shall be governed by a Core Leadership Group (CLG). The CLG shall be <br /> charged with policy decisions, setting assessment levels, and appropriating"Program <br /> Administration and Coordination" funding. Each contributing funding partner shall have <br /> one representative vote on the CLG. <br /> Kitsap Transit(KT) will act as the custodian and fiscal agent of"Program Administration <br /> and Coordination" funds, and shall disburse said funds as appropriated by the CLG on <br /> behalf of the Partnership. <br /> B) Research and Development <br /> The Western Washington University (WWU) Vehicle Research Institute (VRI) will serve <br /> as the research and development arm of the Partnership, developing and producing the <br /> prototypes with guidance and direction from the transit agency members of the <br /> Partnership. Such guidance and direction shall include, but not be limited to significant <br /> design parameters and critical performance specifications. <br />
