CITY OPUSOMUSIC 11/28/2016 #L1C-0P000662 OPUS i ANNUAL LEASE&SYNCHRONIZATION AGREEMENT 1. This Annual Lease and Synchronization Agreement ("Agreement") is by and between Opus I Production Music Library, LLC("Opus 1") located at 12711 Ventura Blvd., Suite 170, Studio City, CA 91604 and Everett Channel ("Licensee") located at 3002 Wetmore Ave., Everett, WA 98201, for the licensing of music. In full consideration for the rights granted herein, Licensee agrees to pay Opus 1 the flat sum of Seven Hundred Fifty Dollars ($750.00) for the term of this Agreement. Opus 1 hereby licenses the musical compositions from the Opus 1 libraries ("Library"), and grants to Licensee the right to record and synchronize and publicly perform up to Ten (10) musical compositions for: All TV Media; Intranet; Multimedia/Intemet (including social media); Streaming Only; Worldwide; One (1) Year, pursuant to the terms hereunder. 3. if Ten(10)compositions are exhausted prior to the end of a Twelve(12)month period,additional compositions can be acquired in either of the following ways: Option 1)Additional musical compositions subject the same rights and clearances can be licensed at a per- use rate of Seventy Five Dollars($75.00)per musical composition. Option 2) An additional Ten (10) compositions can be acquired at the same rate as the initial number of compositions and a new Twelve(12)month period will begin on the specified date. 4. The term of this Agreement shall be for a period of One (1) Year beginning on 12/1/2016 and ending on 1130 2017. Upon termination or expiration of this Agreement, all materials furnished by Opus I to Licensee shall be returned to Opus 1 at Licensee's expense within ten(10)days. 5. Opus I warrants that it is an authorized agent for all of the music contained in the Library. Opus 1 further warrants that it has the legal right to license the usage of music selected from the Library, and that each and every part of the recorded material in Library were manufactured under agreements with the copyright owners which permit their use for purposes herein specified and that Licensee shall not be liable for any additional payments in connection with the exercise of the rights herein granted to Licensee. 6. In the event that Opus I breaches this Agreement, Licensee shall have the right to terminate this Agreement upon Ten (10)business days written notice to Opus 1; in the event this Agreement is terminated because of breach by Opus I, Opus I shall refund to Licensee that portion of the unearned license fee as of the termination date. Opus 1 agrees to indemnify Licensee and hold it harmless from and against all losses, costs, damages and expenses incurred as a result of Opus l's breach of its representations and warranties. 7. In the event that Licensee breaches this Agreement, Opus 1 shall have the right to terminate this Agreement upon Ten (10) business days written notice to Licensee, and Licensee agrees to pay reasonable costs incurred by Opus 1 which result from Licensee's breach. Upon termination: (a) all rights granted to Licensee by this Agreement shall immediately revert to Opus I;(b)all income which was due or which might become due under this Agreement shall immediately become payable; and(c) Licensee shall have no further claim to this Agreement, any income, or benefits relating to this Agreement.
