OPUSOMUSIC <br /> I 128/2016 ##LIC-0P000662 <br /> OPUS 1 ANNUAL LEASE&SYNCHRONIZATION AGREEMENT <br /> 8. Neither party shall sell, transfer, assign, or otherwise dispose of any of its rights or obligations under this <br /> Agreement without the other party's prior written approval,which will not unreasonably be withheld or delayed. <br /> 9. Licensee agrees to furnish licensor cue sheets reporting forms for all productions that utilize compositions <br /> from the Opus 1 "library". All cue sheets must have composer, performing rights affiliation, and composition title <br /> information listed. All cue sheets need to be reported to Opus 1 within Thirty (30) days of the final edit of the <br /> production. <br /> 10. Public performance of the musical compositions in synchronization with the Productions shall be further subject <br /> to the maintenance or procurement by each exhibiting entity of a valid performing rights license issued by ASCAP, <br /> BMI,SESAC,or other entity controlling the licensing of performing rights. <br /> 11. All rights not herein explicitly granted to Licensee are reserved by Opus I. <br /> 12. This Agreement shall be considered valid upon Opus I receiving a partially-executed Agreement or upon <br /> complete payment.A photocopy or faxed copy of this Agreement shall be considered as a valid original. <br /> 13. Any controversy or claim arising out of or relating to this Agreement,or the breach thereof, shall be settled by <br /> arbitration administration in Los Angeles, California by the American Arbitration Association or JAMS under its <br /> Commercial Arbitration Rules,and judgment on the award rendered by the arbitrator(s)may be entered in any court <br /> having jurisdiction thereof.
