6 <br /> 3. Regulations <br /> Vendor agrees to comply with applicable federal, state and city legislation, rules <br /> and/or regulations. These include but are not limited to the following: <br /> a) Federal, state and local health, safety and licensing laws and/or regulations <br /> relating to sale of concessioned goods. <br /> b) Everett Municipal Code, including, but not limited to, all requirements set forth in <br /> Title 5 of the Everett Municipal Code relating to business licenses. <br /> c) State of Washington Business licenses, Department of Revenue account and/or <br /> unified business identifier numbers as required by RCW 50.04.104 and 51.08.192 <br /> and RCW 74.18.220. <br /> d) Everett Animal Shelter operating policies, rules and regulations. <br /> 4. Products <br /> Vendor agrees to comply with requests made by the City to supply certain products, <br /> nor not to supply certain products,provided that any such request shall not be <br /> unreasonable. In no event shall any alcohol or tobacco products be offered for sale in <br /> any vending machine. <br /> 5. Indemnification <br /> Vendor agrees to release, indemnify and promise to defend and save harmless the <br /> City, its officers, employees and agents from and against any and all liability, loss, <br /> damage, expense, action and claims, including costs and reasonable attorney's fees <br /> incurred by the City, its officers, employees and agents in defense thereof, arising out <br /> of, connected with or resulting directly or indirectly on account of or out of the <br /> performance of activities pursuant to this Agreement; provided,however,this <br /> paragraph does not purport to indemnify the City against liability for damages arising <br /> out of bodily injuries to persons or damages caused by or resulting from the sole <br /> negligence of the City, its officers, employees and agents. <br /> 6. Insurance <br /> Vendor shall maintain insurance in the following amounts during the entire <br /> performance of its activities pursuant to this Agreement: Comprehensive General <br /> Liability Insurance, including products and completed operations coverage, for <br /> property damage and bodily injury liability with not less than$1,000,000 combined <br /> single limits per occurrence. Prior to any work or performance pursuant to this <br /> Agreement, Vendor shall provide the City with a Certificate of Insurance naming the <br /> City as an additional insured in a form acceptable to the City. Vendor agrees to <br /> provide at least thirty (30)written days notice prior to cancellation of any of the <br /> insurance requirements set forth above. <br /> 7. Maintenance <br /> The Vendor shall perform all maintenance and service for the vending machine(s) as <br /> required by the Vendor preventative maintenance program and/or upon notification <br /> by the City of vending machine malfunction. Vending machine malfunctions will be <br /> correctly within two (2) business days of notification. If a machine needs to be <br /> replaced, the replacement will be installed within two calendar weeks (or 14 calendar <br /> 2 <br /> 2 <br />
