All Vendor activity described in <br /> this section must take place during normal operating hours of the Everett Animal <br /> Shelter. <br /> 8. Performance <br /> The Vendor understands the City's goal of providing excellent quality and effective <br /> customer service. The Vendor is required to have its employees who service the <br /> vending machine(s) and who maintain the account with the City to wear a picture <br /> identification badge and other identification(e.g. Vendor issued uniform) by which <br /> they may be known and distinguished as the employee of the Vendor. The Vendor <br /> will require its employees to exercise courtesy and consideration in the relations with <br /> the public and present a neat, clean and otherwise attractive personal appearance. <br /> 9. Records <br /> The Vendor must maintain adequate records to support its performance under this <br /> Agreement. The Vendor shall maintain said records for a period of five (5)years <br /> after completion of this contract. The City or any duly authorized representative <br /> thereof shall have access to any books, documents, or papers and records of the other <br /> which are directly related to this Agreement for the purpose of audit examinations, <br /> excerpts or transcripts. <br /> 10. Assignability <br /> The Vendor shall not assign or transfer any interest in the Agreement. <br /> 11. Duration <br /> This Agreement shall be effective upon execution by all parties and shall remain <br /> effective until through March 31, 2006 unless terminated by one of the parties. Both <br /> the Vendor and the City shall have the right to terminate this agreement, with or <br /> without cause, upon sixty(60) days notice, in writing, to the other party. <br /> 12. Severability <br /> If any provision of this Agreement, or its application to any person or circumstance is <br /> held invalid, the remainder of this Agreement, or the application of the provision to <br /> other persons or circumstances shall not be affected. <br /> 13. Complete Agreement <br /> This Agreement shall constitute the entire Agreement between the parties. Any other <br /> agreement, whether written, oral or otherwise, shall be null and void. <br /> 14. Notices <br /> All notices pursuant to this Agreement may be delivered or mailed.
