4. EAS will not staff ARF programs or events except when programs are jointly sponsored by both parties. ARF Responsibilities 5. ARF shall, from time to time, conduct community and animal adoption events and outreach activities to generate community visibility and interest in EAS and the adoption of animals from the EAS. 6. Funding received by ARF, in whatever form (including but not limited to, grants and donations), less administrative expenses of ARF, shall be used for the support and benefit of the animals of EAS. Funds may be distributed to EAS through annual grants to EAS in support of shelter animal medical care. ARF may also grant funds to EAS for other mutually agreed upon projects, programs or purchases. Grants may include reporting requirements for the usage of funds. Grant reporting requirements will be mutually agreed upon by the parties. ARF may, from time to time, enter into partnerships with other organizations and/or fund independent projects or purchases that directly or indirectly benefit EAS and the animals in EAS's care. Other 7. Term. This Agreement shall continue until terminated by either party by giving the other 90 days prior written notice. 8. Hold Harmless. Each party shall be responsible for the actions and omissions of itself and its own officers, employees, and agents acting within the scope of their authority. 9. Complete Agreement. This Agreement constitutes the entire agreement of the parties relating to the subject matter of this Agreement. This Agreement supersedes and replaces all other written or oral agreements thereto. No amendment to this Agreement will be effective unless in writing and signed by the Mayor of the City and by an authorized representative of the ARF.
