<br /> The County will provide the City with an example of the parking permit to educate the
<br /> Everett Station management and security personnel. If the County changes the parking permits,
<br /> the County will provide examples of the changed permits to the City and will notify the City in
<br /> writing of the effective date of the change.
<br /> 5. MAINTENANCE, MANAGEMENT AND SERVICES. City covenants and agrees with
<br /> the County to cause public utilities to furnish electricity utilized in operating all normal facilities
<br /> serving the Premises, and to furnish the following utilities and services to the Premises during the
<br /> term of this license agreement:
<br /> a. 24-Hour, 7-Day access.
<br /> b. Daily parking patrol throughout the premises.
<br /> c. Access to emergency call stations and occasional camera surveillance.
<br /> d. Routine maintenance, painting, electric lighting including bulb replacement,
<br /> and other services in the manner and to the extent considered to be standard for licensed
<br /> premises in the area in which the Premises are located.
<br /> 6. HOLD HARMLESS CLAUSE. City shall protect, hold harmless, indemnify, and
<br /> defend, at its own expense, the County, its appointed and elected officials, officers, employees,
<br /> and agents from any loss or claim for damages of any nature whatsoever, including claims by
<br /> third parties or by City employees from which it would otherwise be immune under TITLE 51,
<br /> RCW or other law, arising out of any act or omissions on or about the premises or relating to this
<br /> license by City, its officers, assignees, agents, employees, invitees, contractors or subcontractors.
<br /> If a loss or claim is caused by or results from the concurrent negligence of City, its officers,
<br /> assignees, agents, employees, invitees, contractors or subcontractors and the County, its
<br /> appointed or elected officials, officers, employees, or agents, this clause shall be valid and
<br /> enforceable only to the extent of the negligence of the City, its officers, assignees, agents,
<br /> employees, invitees, contractors or subcontractors.

<br /> The parties acknowledge that the foregoing indemnity provisions were mutually negotiated.
<br /> 7. INSURANCE. The County certifies that it is self-insured up to combined single limit
<br /> coverage of $1,000,000.00. If the County ceases to be self-insured during the term of this
<br /> license, the County agrees to purchase commercial general liability insurance with combined
<br /> single limit coverage of$1,000,000.00, endorsing the City as an additional insured.
<br /> 8. ASSIGNMENT OR SUBLETING. This license may not be assigned, sublet, or
<br /> possession thereof transferred voluntarily or involuntarily by the County.
<br /> 9. NOTICES. Notice as required by any term of this license, or by law, shall be given by
<br /> registered or certified mail. Such communication or notice shall be deemed to have been given
<br /> and received when deposited in the United States Mail, property addressed, with postage prepaid.
