5 d <br /> AMENDMENT NO. 1 TO PROFESSIONAL SERVICES zaff <br /> AGREEMENT BETWEEN <br /> THE CITY OF EVERETT AND <br /> PERTEET ENGINEERING, INC. <br /> The City and Perteet Engineering agree to amend and modify their professional services <br /> agreement dated 21 April 2003 (the "Agreement") as follows: <br /> 1. The work described in Exhibit A-1, which is attached to this amendment, is added to the <br /> Scope of Work described in Exhibit A of the Agreement. <br /> 2. Paragraph 3 is modified to read as follows: <br /> This Agreement shall commence as of the date of execution of this Agreement and shall <br /> be completed by 31 July 2004. <br /> 3. Paragraph 4(D) is modified to read as follows: <br /> Total compensation, including all services and expenses, shall not exceed a maximum of <br /> Five Hundred Eighty-nine Thousand Five Hundred Thirty-six Dollars ($589,536). <br /> 4. Exhibits B-1 and C-1, which are attached to this amendment, are added to the Consultant <br /> Fee Determination described in Exhibits B and C of the Agreement. <br /> 5. Paragraph 4(B) is modified to include both Exhibit B and Exhibit B-1 (attached). <br /> 6. Paragraph 4(C) is modified to include both Exhibit C and Exhibit C-1 (attached). <br /> 7. The effective date of this Amendment is the date of its full execution. <br /> 8.
