duties and costs associated with the lease of the basement of the Medical Dental <br /> Building, and the County shall turn over to the City all keys for the space. <br /> 2. Transfer of Furniture. Fixtures. Equipment and Machinery. By approval of this <br /> Agreement, the County hereby transfers to the City the items described in the <br /> Summary of Furniture Items in Medical Dental Building attached hereto as <br /> Exhibit B and incorporated by this reference. The County conveys all of the <br /> County's right and title to these items and the City accepts them in their present <br /> condition "AS-IS. WHERE-IS" WITH ALL FAULTS. THE COUNTY <br /> PROVIDES NO REPRESENTATION AND/OR WARRANTY FOR THESE <br /> ITEMS, AND THE CITY ASSUMES ANY AND ALL LIABILITY AND <br /> RESPONSIBILITY FOR THE FITNESS OF THEIR USE. Any County property <br /> remaining in the City's evidence control facilities in the basement of the Medical <br /> Dental Building after October 15, 2003 that is not described in Exhibit B shall be <br /> considered transferred to the City under this Agreement unless the County <br /> provides notice to the City of its intent to claim the property no later than January <br /> 15, 2004. <br /> 3. Other Spaces Used for Evidence Storage. This Agreement has no application or <br /> relevance to the County's current use of other locations in the Mission Building, <br /> the Courthouse, and other mini-storage locations for County evidence storage. <br /> 4. Survival of Tent's. It is understood and agreed by the parties that all terms, <br /> covenants, and conditions of paragraphs 15 through 19 of the Evidence Control <br /> Contract shall survive termination and shall remain in full force and effect. <br /> 5. Venue. The laws of the State of Washington shall apply to the construction and <br /> enforcement of this Agreement. Any action at law, suit in equity, or judicial <br /> proceedings for the enforcement of this Agreement or any provision hereto shall <br /> be in the Superior Court of Snohomish County, Everett, Washington. <br /> 6. Severability. Should any clause, phrase, sentence or paragraph of this Agreement <br /> be declared invalid or void, the remaining provisions of this Agreement shall <br /> remain in full force and effect <br /> 7. Entire Agreement. This document and its exhibits constitute the entire agreement <br /> between the parties. <br /> i3 <br />
