J <br /> Amendment One to Regional Pass <br /> and Fare Reconciliation Program Agreement <br /> THIS AMENDMENT is entered into this day of <br /> 2004,by and between the CENTRAL PUGET SOUND REGIONAL TRANSIT <br /> AUTHORITY("Sound Transit"); the CITY OF EVERETT("Everett Transit");KING <br /> COUNTY ("King County Metro");PIERCE COUNTY PUBLIC TRANSPORTATION <br /> BENEFIT AREA CORPORATION("Pierce Transit"); and SNOHOMISH COUNTY <br /> PUBLIC TRANSPORTATION BENEFIT AREA CORPORATION("Community <br /> Transit")each of which is herein referred to individually as a"Party"or collectively as <br /> "Parties." <br /> WHEREAS,the Parties executed the Regional Pass and Fare Reconciliation Program <br /> Agreement on January 1, 2002,which implemented regional transfer acceptance and <br /> reconciliation policies in furtherance of the goal of providing customers ease of access to <br /> all transit services in the Puget Sound Region; and <br /> WHEREAS,the Agreement has an expiration date of December 31,2004, but it also <br /> allows the Parties to extend the Agreement for three additional one-year periods with the <br /> prior written consent of the General Managers of the Parties; and <br /> WHEREAS,the Parties desire to exercise their right to extend the Agreement under the <br /> same terms and conditions through this Amendment One. <br /> NOW,THEREFORE, in consideration of the mutual covenants contained herein, the <br /> sufficiency of which is hereby acknowledged,the Parties hereby agree to amend the <br /> above-referenced Agreement as follows: <br /> Section One. Section 2.a of the Agreement is hereby amended to read as follows: <br /> Section 2 TERM OF AGREEMENT <br /> a) Effective Date. This Agreement shall become effective on January 1,2002. <br /> Unless terminated as provided herein,this Agreement shall remain in effect until the <br /> earlier of December 31,2005 or when a viable program replacing the need for and <br /> supporting the goals of this agreement is in place,as reasonably determined by the <br /> Parties. However,the termination of this Agreement due to its replacement by another <br /> program shall in no way relieve any Party of its obligations incurred under this <br /> Agreement prior to such termination. This Agreement may be extended for two(2) <br /> additional one-year periods with the prior written consent of the General Managers of the <br /> Parties. <br /> Section Two. All provisions of the Agreement not referenced in this Amendment One <br /> shall remain in effect. <br />
