Thc City hereby agrces to engage the Contractor,and the Contraclor hereby agrecs,lo perlorm thc work in a competenl und professional manncr and provide the services describeei in the attaclied"Exhibit A-Scope oC Work". The Scope of Work so iden6fic:;is hereafter rcferred ro as"Work". Without a written directive of an authoriud representative of thc Ciry, the Contracror shall not pederm any serviccs that arx in acldition ro,or beyond Ihe scope of,the Work.If Cthe Contractor's proposal is attached az an exhibit,and if such pmposal comains or inco�orates any conditions or tertns in addition to or differcnt from the tctms of this Agreement,then the Contractor expressly agrees diat such conditions or rerms are neither incorporated nor included into this Agreement bctwcen the City and Contractnr. 2. Intelkctuat ProueHv Riehts. Reports,drawings,plans,specifications and:.ny other intangible property created in furtherance of the Work arc propcety of tl�e City for all purposes,whether the project for which they azc made is executcd or not,and may be used by the City for any puryose. Unless otherwise expressly agrced in writing,all intellectual property rights in such dceuments or intangible proper.y crca�cd pursuant m this Agrcement,or for the City of Everett,belong to the City of Everett. Con Vactor retains any intclle.tual property rights in documents and intangible property crcated by Contracror prior to engagement,or nol crcated by ConVactor far its pedormance of thSs Agrcement. 3. Time of Reeinnlna and Comaletion of Performance. Thi ommence az of thc date of execution of this Agreemcnt md shall bc completed Friday April 12,2002. 4. Comcensetton. � A. The Contractor shall bc paid by the City only for completed Work and for services actually rendered which aze described herein. Such payment shall be full compensation for Work pedonned oc scrvices rendered,including,but not limitcd to,all labor,materia[s,supplies,equipment and incidentals necessary to complete[he Work. B.
