<br /> F. Contractor ccrtifies tha[ it is aware of the provisions of Title Sl of the Revised Code of
<br /> Wazhington which requires every employer to be insured against liabiliry of Wotkec:' Compensation,or
<br /> to undettake self-insurance in accordance with the provisions of that Title. Contractor shall comply with
<br /> the provisions oE Tide 5I of the Reviud Code of Wachington before commencing the perfortnance of the
<br /> Work. Contrac[or shall provide ihe Ciry with evidencc of Workers' Compensa[ion Insurance(or evidence
<br /> of qualified self-insurance)beiore any Work is commenced.
<br /> G. In case oC[he bceach of any provision of this section, lhe City may, at its optian and with no
<br /> obligation to do so, provide and maintain at the expense of Contmctor, such rypes of insucance in Ux
<br /> name of the Contracror,and with such insurers,as the City may deem proper, and may deduct the cost of �
<br /> providing and maintaining such insurance from any sums which may be found or become due to �
<br /> Contractor under this Agrcement or mey demand Contractor to prompUy rcimbu[u Ihe Ciry for such wst.
<br /> 12. Indeoeodent Contractor.
<br /> A. It is further agrced by and between the pazties that because this Agreemeni shall not constitute �
<br /> nor creatc an employer-employee rclationship, and since the Contractor is an independent contractor,
<br /> Contracror shall be responsible for all obligadons relating to federal income tax, self-employment FICA
<br /> taxes and contributions, and all other so called employer texes and conuibutions, including, but not
<br /> limi[ed ro, industrial insurance(Workmrn's Compensation), and thaz �he Convactor agrea to indemnify,
<br /> defend and hold the Ciry h�rmlcss from any claims,valid or aherwise,made to the Ciry,because of these
<br /> obligadons.
<br /> D. Any and all employees of[he Convactor,while engaged in the perfortnance of any Work,shall
<br /> � be considered employees of only the Contractor and not employees of the City. 'Ihe Contractor shall be
<br /> solely liable foc any and all claims that roay or might arise under the Worket's Compensadan Act on
<br /> behalf of said employees or Con[ractor,while so engaged and for any and a11 claims made by a third party
<br /> as a consequence af any negligent act or omission on the pazt of the Contractors employas, while so
<br /> engaged on any of the Work ,
<br /> C. Can�actor shall comply with all applicable provisions of lhe Fair Labor Standazds Act and ,
<br /> other legislation affecting ils employees and the cules and regulations issutd thereunder insofar as �
<br /> applicable ro its employees and shall at all times save the City free, cleaz and hamiless from all actions, ;
<br /> claims, demands and expenses arising out of said act, and rules and rcgulations that are or may be i
<br /> promulgated in connection therewith. '

<br /> D. Contractor usumes full responsibility for the payment of all payroll tazos, use, sales, income, �
<br /> or othcr form of taxes (such bs state and, ciry business and occupation taxes), fees, licenses, excises or i
<br /> payments required by any city, federal or state legislauon which are now or mey during the term of the
<br /> Agreement be enacted az to all persons employed by the Contractor and as ro all duues, activi6es and
<br /> cequirements by the Contractor in pert'ortnance of the Work and Contractor shall assume exclusive
<br /> liability [herefore, and meet alt requiremcnts theceunder pursuant to any tules or ttgulatlons thet are now
<br /> or may be promulgated in connecaon therewith.
<br /> 13. Emnlovment. The Contractor wacrants �hat he had not employed or retained eny company a
<br /> person, other than a bona fide employee working solely for the Contractor, to solicit or secun this
<br /> Agreement and that he has not paid or agreed to pay any compeny or person, otha than a bone flde
<br /> employee working solely for the Contractor,any fa,cortunission,percentage,brokerage fee,gifts,or any
<br /> o[her consideration,contingent upun or resulting from the award or malting of this Agreement.For bmach
