submitting its request for an audit, the District agrees to allow the auditor to enter <br /> on District property and will reasonably cooperate with the auditor regarding <br /> access and information. <br /> 4.3 The auditor will produce a written report to the City identifying improvements <br /> and, to the extent possible, quantifying water savings from such improvements. <br /> The City will provide copies of the report to the District and to the EWUC <br /> Committee. <br /> 4.4 The District may ask the City to pay for some or all of the measures identified in <br /> the audit report and other water savings measures not identified in the auditor's <br /> report, if the District demonstrates to the City's reasonable satisfaction that such <br /> other measures will result in significant water savings. Such request must be in <br /> writing and within a reasonable time after the District receives the auditor's <br /> report. The request must also provide prices for each water savings measure for <br /> which the District would like payment. If the District intends to contract with a <br /> third party for any or all of the measures,the District must obtain competitive bids <br /> for such measures according to the District's procurement policy and provide the <br /> apparent lowest responsive, responsible bidder's prices in the District's request to <br /> the City. If the District intends to perform the work itself, the District must <br /> include in its request a price for labor, equipment, materials and any other costs or <br /> expenses. <br /> 4.5 The City will refer the request to the EWUC Committee for a recommendation. <br /> The EWUC Committee may recommend payment for some or all of the measures <br /> identified by the District in its written request. Based on the EWUC Committee's <br /> recommendation, the City will decide in its sole discretion whether, and how <br /> many, of the measures it will pay the District. Any work for measures performed <br /> prior to the City's decision to pay will be at the District's sole risk. Decisions to <br /> pay for water savings measures will depend in part on the number of applicants <br /> and the availability of funds, and will be for equipment, labor and materials only. <br /> The City will not pay for operations, maintenance, consulting fees, or capital costs <br /> other than as provided in this Agreement. The parties acknowledge that such <br /> payment is intended to be made only once, and future costs and expenses relating <br /> to the water savings measure will be the responsibility of the District, not the City. <br /> 4.6 If the City decides to pay for any of the requested water savings measures, such <br /> payment will be for a maximum of half the price of the approved water savings <br /> measure, and such amount will only be paid after receipt of an invoice as <br /> provided in this Agreement. <br /> 4.7 An invoice for payment shall include the following: <br /> a. Copy of the proposal <br /> b. Copy of the audit report (if applicable) <br /> c. Letter to proceed from the City <br /> 6 <br />
