• <br /> 12 <br /> without liability to Workforce by reason of such closure and without such action by City being <br /> construed as an eviction of Workforce or release of Workforce from the duty of observing and <br /> performing any of the provisions of this Lease. City shall have the right to enter the Premises for <br /> the purpose of showing the Premises to prospective tenants within the period of one hundred eighty <br /> (180) days prior to the expiration or sooner termination of the Lease term. <br /> 13. Damage or Destruction <br /> A. Damage and Repair <br /> In case of damage to the Premises or the Building by fire or other casualty, Workforce shall give <br /> immediate notice to City. If the Premises are damaged by fire or any other cause to such extent that <br /> the cost of restoration, as reasonably estimated by City, will equal or exceed thirty percent(30%) of <br /> the replacement value of the Premises just prior to the occurrence of the damage, or if insurance <br /> proceeds sufficient for restoration are for any reason unavailable, then City may give Workforce a <br /> notice of election to terminate this Lease no later than the sixtieth day following the City's receipt of <br /> notice of damage. If the cost of restoration as estimated by City shall amount to less than thirty <br /> percent(30%) of said replacement value of the Premises and insurance proceeds sufficient for <br /> restoration are available, or if, despite the cost, City does not elect to terminate this Lease, City shall <br /> restore the Premises (to the extent of improvements to the Premises originally provided by City <br /> hereunder)with reasonable promptness, subject to delays beyond City's control and delays in the <br /> making of insurance adjustments, Workforce shall restore the Premises (to the extent of <br /> improvements to the Premises originally provided by Workforce hereunder), and Workforce shall <br /> have no right to terminate this Lease except as herein provided. To the extent that the Premises are <br /> rendered untenantable,the Rent shall proportionately abate, except in the event such damage <br /> resulted from or was contributed to, directly or indirectly, by the act, fault or neglect of Workforce, <br /> Workforce's officers, contractors, agents,employees, invitees or licensees, in which event Rent shall <br /> abate only to the extent City receives proceeds from any rental income insurance policy to <br /> compensate City for loss of Rent. In case of damage to the Building, whether or not the Premises <br /> are damaged, Workforce shall be bound by the decision of City regarding whether the Building will <br /> be restored. If City elects not to restore the Building,the Lease shall terminate. <br /> B. Surrender of Premises <br /> In the event the Lease terminates pursuant to this §13 (Damage or Destruction),the Lease shall be <br /> deemed to terminate on the third day after the giving of notice by City, and Workforce shall <br /> surrender possession of the Premises within a reasonable time thereafter, and the Rent and <br /> Additional Rent shall be apportioned as of the date of said surrender and any Rent paid for any <br /> period beyond said date shall be repaid to Workforce. <br /> C. Destruction During Last Year of Term <br /> In case the Premises shall be substantially destroyed by fire or other cause at any time during the last <br /> year of the term of this Lease, either City or Workforce may terminate this Lease upon written <br /> notice to the other party hereto given within sixty(60) days of the date of such destruction. <br /> 9 9 Page 10 of 21 <br />
