"Exhibit A OSOS No. G-2639 <br /> GENERAL TERMS, CONDITIONS, AND ASSURANCES <br /> FOR <br /> LSTA GRANT AGREEMENTS <br /> PART I - DEFINITIONS <br /> As used throughout this Grant Agreement, the following terms shall have the meanings set forth <br /> below: <br /> A. "OSOS/WSL" shall mean the Office of the Secretary of State, Washington State Library, any <br /> division, section, office, unit or other entity of that Agency or any of the other officials lawfully <br /> representing OSOS/WSL. OSOS/WSL is the Grantee of federal Library Services and <br /> Technology Act funding from the Institute of Museum and Library Services. <br /> B. "SUB-GRANTEE" shall mean the entity receiving Library Services and Technology Act funds <br /> through OSOS/WSL pursuant to this Grant Agreement. <br /> C. "SUBCONTRACTOR" shall mean one, not in the employment of the Sub-Grantee, who is <br /> performing all or a part of the activities funded under this Grant Agreement under contract from <br /> the Sub-Grantee. <br /> D. 'SIGNATORY' shall mean that individual authorized to legally bind the Sub-Grantee to specific <br /> actions. <br /> E. "FISCAL AGENT" shall mean an individual authorized to legally bind the Sub-Grantee to fiscal <br /> liabilities and who is accountable to the Sub-Grantee's governing body for the integrity of both <br /> the Sub-Grantee's accounting system and the financial statements that system provides. <br /> F. "DISPUTES" shall mean a conflict or controversy; a conflict of claims or rights; an assertion of <br /> a right, claim or demand on one side, met by contrary claims or allegations on the other. <br /> G. "LIBRARY SERVICES AND TECHNOLOGY ACT (LSTA) GRANT FUNDING" shall mean <br /> federal funds originating from the Institute of Museum and Library Services (IMLS). <br /> PART II - CONDITIONS <br /> The Sub-Grantee shall follow these requirements and shall include these requirements in all <br /> approved subcontracts. <br /> ACCESS TO DOCUMENTS AND PERSONNEL <br /> The Sub-Grantee shall maintain books, records, documents and other sufficient to permit the <br /> preparation of reports required by the Library Services and Technology Act (LSTA) and 45 CFR <br /> Part 1183, and to permit the tracing of funds to a level of expenditure adequate to ensure that the <br /> funds have not been spent unlawfully. These records shall be subject to inspection, review, or <br /> audit by OSOS/WSL, the Office of the State Auditor, and the federal and state officials so <br /> authorized by law. <br /> ASSESSED COSTS <br /> If any costs are assessed against OSOS/WSL by the United States government as a result of a <br /> breach of this Grant Agreement by the Sub-Grantee or its subcontractors, the Sub-Grantee will be <br /> liable to OSOS/WSL for such cost. <br /> . f (J <br /> Page 1 of 9 <br />
