Exhibit A OSOS No. G-2639 discrimination under or denied employment in the administration of or in connection with any program or activity funded in whole or in part by this federally funded Grant Agreement because of race, color, creed, marital status, religion, sex, national origin, Vietnam era or disabled veteran's status, age, the presence of any sensory, mental or physical handicap, or political affiliation or belief. The standards followed shall be in compliance with the standards applicable to federally funded programs. NOTICE OF CHANGE IN STATUS In the event of substantive change in the legal status, organizational structure, or fiscal reporting responsibility of the Sub-Grantee, Sub-Grantee agrees to notify OSOS/WSL of the change, and to file a new Fiscal Compliance Certificate (Exhibit D). Sub-Grantee shall,provide notice and file a new certificate as soon as practicable, but no later than thirty days after such a change takes effect. RECORDS RETENTION The Sub-Grantee shall: • Retain all financial, statistical, property records, and supporting documentation for a period of seven years from the termination date of the Grant Agreement. �en,t. • Retain records for non-expendable property for a period of three years after final disposition of a he property. • Retain those records previously mentioned in this section beyond the records retention period if any litigation or audit is begun, or if a claim is instituted involving the Grant Agreement or an agreement covered by the records. In these instances, the records will be retained until the litigation, audit, or claim has been finally resolved. RESOLUTION OF CONFLICTING PROVISIONS In the event of an inconsistency in this Grant Agreement, unless otherwise provided herein, the inconsistency shall be resolved by giving precedence in the following order: • Applicable Federal and state of Washington statutes and regulations. • Grant Agreement Special Terms and Conditions as contained in the basic contract instrument • Exhibit A - General Terms, Conditions, and Assurances for LSTA Grant Agreements • Exhibit B, Statement of Work, and Exhibit C, Budget • OSOS/WSL Grant Guidelines, incorporated by reference into this contract • Sub-Grantee's Application for LSTA Grant Funding, incorporated by reference into this contract. • Any other provision, term, or material incorporated by reference or otherwise incorporated in this Grant Agreement. RIGHTS IN DATA Unless otherwise provided, data and other copyrightable materials produced under this Grant Agreement shall be owned by the Sub-Grantee. The Sub-Grantee hereby grants the OSOS/WSL and the federal awarding agency a royalty-free, nonexclusive, and irrevocable license to reproduce, publish or otherwise use, and to authorize others to use, for government purposes: 76 Page 4 of 9
