11 <br /> Exhibit A OSOS No. G-2639 <br /> (a) The copyright in any work developed under a grant, subgrant, or contract under a grant or <br /> subgrant; and <br /> (b) Any rights of copyright to which a grantee, subgrantee or a subcontractor purchases <br /> ownership with grant support. <br /> Materials means all items in any format and includes, but not be limited to, data, reports, <br /> documents, pamphlets, advertisements, books, magazines, surveys, studies, computer programs, <br /> films, tapes, and/or sounds reproductions. Ownership includes the right to copyright, patent, <br /> register, and the ability to transfer these rights. <br /> SAVINGS <br /> In the event funding from state, federal, or other sources is withdrawn, reduced, or limited in any <br /> way after the effective date of this Grant Agreement and prior to normal completion, OSOS/WSL <br /> may terminate the Grant Agreement under the "Termination for Convenience" clause, without <br /> thirty-day notice requirement, subject to renegotiation under those new funding limitations and <br /> conditions. In the event of reduced funding, the Sub-Grantee may be subject to a proportional <br /> reduction, up to but not exceeding, the percentage of reduction sustained by OSOS/WSL. <br /> SEVERABILITY <br /> If any provision of this Grant Agreement or any provision of any document incorporated by <br /> reference shall be held invalid, such invalidity shall not affect the other provisions of this Grant <br /> Agreement which can be given effect without the invalid provision, if such remainder conforms to <br /> the requirements of applicable law and the fundamental purpose of this Grant Agreement, and to <br /> this end the provisions of this Grant Agreement are declared to be severable. <br /> SMALL, MINORITY, WOMEN'S AND LABOR SURPLUS AREA BUSINESS ENTERPRISES <br /> The Sub-Grantee shall provide to qualified small and minority firms, women's business <br /> enterprises, and labor surplus area firms equal opportunity to participate in subcontracts related to <br /> the performance of this Grant Agreement as required by 45 CFR 1183.36e. <br /> SUBCONTRACTING <br /> Neither the Sub-Grantee nor a Subcontractor may enter into subcontracts for any of the work <br /> contemplated under this Grant Agreement that is not already identified in the Scope of Work or <br /> application without obtaining prior written approval of OSOS/WSL. Nothing contained in the <br /> subcontract documents shall create any contractual relation between any Subcontractor and <br /> OSOS/WSL or create any obligation on the part of OSOS/WSL to pay or see to the payment of <br /> any sums to the Subcontractor. <br /> SUBCONTRACTOR COMPLIANCE <br /> In the event the Sub-Grantee enters into any subcontract for activities to be performed under this <br /> Grant Agreement, the Sub-Grantee shall be responsible for Subcontractor compliance with every <br /> term and condition undertaken by the Sub-Grantee and shall ensure that the Subcontractor <br /> spends the funds only for allowable activities. <br /> 7 7 <br /> Page 5 of 9 <br />
