NFIRS GRANT AGREEMENT (Continued) <br /> 23. Termination Procedure. The following provisions shall survive and be binding on the <br /> parties in the event the Contract is terminated: <br /> a. The Grantee shall cease to perform any services required by the Contract as of <br /> the effective date of termination and shall comply with all instructions contained <br /> in the notice of termination. <br /> b. The State of Washington shall be liable for and shall pay for only those services <br /> authorized and provided through the date of termination. WSP may pay an <br /> amount agreed to by the parties for partially completed work and services. <br /> c. In the event of termination for default, WSP may withhold a sum from the final <br /> payment to the Grantee that WSP determines necessary to protect the State of <br /> Washington against loss or additional liability. The rights and remedies provided <br /> to WSP in this paragraph are in addition to any other rights and remedies <br /> provided at law, in equity and/or under the Contract. The Grantee may request <br /> dispute resolution as provided in the Contract. <br /> WSP may direct assignment of the Grantee's rights to and interest in any subcontract or <br /> orders placed to WSP. WSP may terminate any subcontract or orders, and settle or pay <br /> any or all claims arising out of the termination of such orders or subcontracts. <br /> 24. Waiver. A failure by either party to exercise its rights under this Agreement shall not <br /> preclude that party from subsequent exercise of such rights and shall not constitute a <br /> waiver of any other rights under this Agreement unless stated to be such in writing and <br /> signed by an authorized representative of the party and attached to the original <br /> Agreement. <br /> 137 <br /> NFIRS Grant Agreement Page 5 <br /> 8/29/01 <br />
