6 <br /> Second Amendment to the Memorandum of Agreement <br /> Between Central Puget Sound Regional Transit Authority and <br /> The City of Everett <br /> For Operations and Maintenance Services at Everett Station <br /> This Second Amendment to the Memorandum of Agreement between Central Puget Sound <br /> Regional Transit Authority and the City of Everett for Operations and Maintenance Services to <br /> Everett Station Agreement effective February 3,2002, (the"Agreement")is made by and between <br /> the CITY OF EVERETT("City")and CENTRAL PUGET SOUND REGIONAL TRANSIT <br /> AUTHORITY, a regional transportation authority of the State of Washington("Sound Transit") <br /> (together the"parties"). <br /> BACKGROUND <br /> A. The parties wish to amend the Agreement to add maintenance services for the <br /> South Parking Lot and other commuter rail improvements associated with Sound Transit <br /> commuter rail operations including customer service support. <br /> B. Contemporaneously with the execution of this Amendment, Sound Transit shall <br /> transfer ownership of the South Parking Lot Improvements to the City of Everett, in exchange <br /> for the transfer of a perpetual easement by the City to Sound Transit for the transit use of the <br /> South Parking.Lot Improvements identified in Exhibit Al <br /> AGREEMENT <br /> For and in consideration of the mutual covenants contained herein, the parties agree as <br /> follows: <br /> 1. Section 1.0 of the Agreement is amended as follows: <br /> 1.0 PURPOSE AND SCOPE OF AGREEMENT <br /> The purpose of this Agreement is to specify the respective roles and responsibilities of the <br /> Parties regarding the maintenance and operations of Everett Station related to Sound Transit's <br /> regional express bus service (hereinafter"ST Express") and its commuter rail service (hereinafter <br /> "Commuter Rail"). This Agreement establishes the cost/revenue structure and type of services <br /> to be provided by the City to Sound Transit; Sound Transit's responsibilities regarding <br /> informational signage (changeable and static); and allows for additional work that may be agreed <br /> upon between the Parties. <br /> 2.
