f . , CITY OF EVERETT PROFESSIONAL SERVICES AGREEMENT THIS AGREE1VIENT made and entered into on this day of April, 2004, by and between the CITY OF EVERETT, a municipal corporation under the laws of the State of Washington, hereinafter referred to as the "City," and DOWNTOWN EVERETT ASSOCIATION, a non- profit Washington corporation, street address: 2707, Suite 1200, Colby Avenue, Everett, WA 98201, postal address: c/o C. Skotdal, Box 5267, Everett, WA 98206, hereinafter referred to as the "Contractor." WHEREAS, the Everett City Council has, by Ordinance No. 2097-95, established a downtown Everett Business Improvement Area (BIA) to enhance the appearance, cleanliness and safety in downtown Everett; and WHEREAS, the City desires to engage the Contractor to provide services related to the purposes of the BIA for the City of Everett; and WHEREAS, the Contractor has agreed to offer its services; and WHEREAS, the Contractor represented, and by entering into this Agreement now represents, that it is fully qualified to perform the work to be performed hereunder in a competent and professional manner to the standards required by the City; NOW, THEREFORE, the parties herein do mutually agree as follows: 1. Engagement of Contractor. The City hereby agrees to engage the Contractor, and the Contractor hereby agrees, to perform the work in a competent and professional manner and provide the following services (hereafter referred to as "Work"): A. The operation of a security program to provide enhanced security for common areas and for people, which may include, but is not limited to, dissemination of information relative to security and for the purpose of generating favorable publicity, and to promote the BIA and the property and businesses therein as a clean, safe and inviting area; to the providing of additional security through a combination of public and private personnel, facilities, improved lighting, and such other measures or activities as will accomplish the above-stated objectives, and also assist in changing the perception that the BIA is an undesirable or unsafe area. Contractor shall design and implement the security program after consultation with City Police Department, Parks Department and other City departments. B. Maintenance and appearance enhancement of common areas, such as the sweeping and cleaning of sidewalks, the removal or covering of graffiti, the removal or prevention of Litter, providing trash receptacles and planting containers, and such other related activities or services which would enhance the appearance of the area and encourage the general public to increasingly visit and do business in the BIA. C. Contractor shall engage in activities to market to the general public the desirability of Everett's downtown for business, commerce and recreational uses and activities. 1 10
