• <br /> S <br /> f. "OMB" shall mean the Federal Office of Management and Budget. <br /> g. "Nonexpendable personal property" shall mean tangible personal property having a useful life of <br /> more than one year and an acquisition cost of$500 or more per unit or unless stated differently <br /> in the specific terms of the contract. <br /> h. "Personal property"shall mean property of any kind except real property. <br /> i. "RCW" shall mean the Revised Code of Washington. <br /> j. "Real property" shall mean any interest in land. <br /> k. "Subcontractor" shall mean any person, partnership, corporation, association, or organization,not <br /> in the employment of the Contractor, who is performing all or part of services under any contract <br /> incorporating this Agreement under contract from the Contractor or a subcontractor. The term <br /> "subcontractor" means "subcontractor(s)" in any tier. <br /> 1. The "useful life" of property shall mean that useful life as based on the U.S. Department of <br /> Treasury, Internal Revenue Service, policies on depreciation for tax purposes, unless the <br /> Contractor can document to the written satisfaction of the County some different period. <br /> m. "WAC" shall mean the Washington Administrative Code. <br /> n. "County" shall mean the County of Snohomish, Everett, Washington; its employees, officers and <br /> elected officials. <br /> ASSIGNMENT AND DELEGATION <br /> The Contractor shall not subcontract, assign or delegate any rights or obligations under this Agreement, <br /> either in whole or in part, without the prior express written approval of the County. <br /> SUBCONTRACTING <br /> The Contractor shall not subcontract work or services provided under this Agreement without obtaining <br /> the prior written authorization of the County. <br /> At the County's request, the Contractor will forward to the County copies of subcontracts and fiscal, <br /> programmatic, and other material pertaining to subcontracts. <br /> Every subcontract awarded by the Contractor incorporating this Agreement shall be in writing and <br /> incorporate the following clauses of this Agreement, with word changes where appropriate to properly <br /> identify the parties to the subcontract: <br /> definitions <br /> subcontracting <br /> conflicts of interest and kickbacks <br /> audit requirements <br /> April 14, 2004 Basic Terms& Conditions HSD-2004-05-198 <br /> City of Everett <br /> Page 2 <br />
