8 <br /> Personnel and governing board or advisory committee policies of the Contractor shall include written <br /> standards of conduct governing conflict of interest and kickbacks. <br /> Gratuities in the form of entertainment, gifts, or otherwise offered by the Contractor, an agent or <br /> representative of the Contractor to any officer or employee of the County, with a view towards securing <br /> any contract incorporating this Agreement or securing favorable treatment with respect to the awarding, <br /> amending, or the making of any determination will render this Agreement voidable at the option of the <br /> County and may justify further action under the Executive Conflict of Interest Act,Title 42.18 RCW. <br /> The County may, by written notice to the Contractor terminate this Agreement in whole or in part if it is <br /> found, after due notice and hearing under the provisions of the Administrative Procedures Act, Chapter <br /> 34.05 RCW, that any of the following laws have been violated in obtaining this Agreement or securing <br /> favorable treatment with respect to the awarding or amending or the making of any determinations with <br /> respect to this Agreement, or in contracts entered by the Contractor or agencies contracting with the <br /> Contractor under authority of this Agreement: <br /> A. Executive Conflict of Interest Act, Chapter 42.18 RCW; <br /> B. Misconduct of Public Officers, Chapter 42.20 RCW; <br /> C. Anti-kickback Act 18 USC 874. <br /> Additionally, the County may suspend or terminate this Agreement by written notice, in whole or in part <br /> if it is found that any of the following laws have been violated by Contractors who are local <br /> governmental entities: <br /> A. Code of Ethics for Public Officials, Chapter 42.21 RCW; <br /> B. Code of Ethics for Public Officers and Employees, Chapter 42.22 RCW; <br /> C. Code of Ethics for Municipal Officers - Contract Interests <br /> COVENANT AGAINST CONTINGENT FEES <br /> The Contractor promises that no person or agency has been employed or retained on a contingent fee for <br /> the purpose of seeking or obtaining this Agreement. This does not apply to legitimate employees or an <br /> established commercial or selling agency maintained by the Contractor for the purpose of securing <br /> business. In the event of breach of this clause by the Contractor, the County may at its discretion: <br /> A. Annul the Agreement without any liability; or <br /> B.
