Upon completion of each audit, the Contractor shall submit to the DSHS contact <br /> person the data collection form and reporting package specified in OMB Circular A-133, reports <br /> required by the program-specific audit guide, if applicable, and a copy of any management letters issued <br /> by the auditor. <br /> Vendors <br /> Contractors that receive less than $300,000 in federal awards, contractors who are private for profit <br /> agencies, contractors who are solely state funded and/or contractors that are identified as VENDORS, <br /> currently do not fall under the requirements of the Single Audit Act and shall have an audit in <br /> accordance with the terms and conditions of their contract, WAC Rules, provisions of the grant, and <br /> DSHS BARS fiscal policies. <br /> Responses to the above shall be sent to: <br /> Deputy Director <br /> Human Services Department <br /> Administrative Services Division <br /> 2722 Colby Ave., Suite 104 <br /> Everett, WA 98201 <br /> INSURANCE <br /> A. The Contractor shall obtain, maintain continuously for the term of any contract incorporating this <br /> Agreement, and bear the expense of Commercial General Liability Insurance with endorsements <br /> and other insurance, which may include Professional Liability, to indemnify for the activities and <br /> services of this Agreement. Minimum limit of coverage shall be $1,000,000 combined single <br /> limit for Commercial General Liability and $1,000,000 each occurrence for Professional <br /> Liability where applicable. <br /> B. Commercial General Liability insurance shall be endorsed to include Snohomish County, its <br /> officers, elected officials, employees and agents as an additional insured, and shall not be <br /> reduced or canceled without forty-five (45) days written prior notice to the County. <br /> C. Such insurance shall be endorsed to include a "cross liability", "severability of interests" or <br /> "separation of insured", indicating essentially that "except with respect to the limits of insurance, <br /> and any rights or duties specifically assigned in this coverage part to the first named insured, this <br /> insurance applies as if each named insured were the only named insured, and separately to each <br /> insured against whom claim is made or suit is brought." <br /> D. Whenever available, coverage shall be occurrence form. If coverage is claims made form, the <br /> retroactive date shall be prior to or coincident with the date of this Agreement and the policy <br /> shall state that coverage is claims made, and state the retroactive date. Claims made form <br /> coverage shall be maintained by the Contractor for a minimum of three years following the <br /> termination of this Agreement, and the Contractor shall annually provide the County with proof <br /> of renewal.
