8 <br /> Director of Human Services upon submission of the dispute for resolution in writing by either <br /> party. The Director shall reduce his/her decision to writing and mail or otherwise furnish a copy <br /> thereof to the Contractor. <br /> The decision of the County shall be final, however it shall not preclude judicial review. Pending <br /> resolution of the dispute, the Contractor shall proceed diligently with the performance of this <br /> Agreement. <br /> B. A party's written request for dispute resolution must be mailed to the Human Services <br /> Department, 2722 Colby Avenue, Suite 104,Everett, WA 98201 within thirty (30) calendar days <br /> after the party could reasonably be expected to have knowledge of the issue which it now <br /> disputes and must state: <br /> 1. The disputed issues. <br /> 2. The relative positions of the parties. <br /> 3. The Contractor's name, address, and its County contract number. <br /> LIMITATION OF AUTHORITY <br /> The County Executive or his/her delegate shall have the express, implied, or apparent authority to alter, <br /> amend, modify, or waive any clause or condition of this Agreement on behalf of the County, provided it <br /> is in writing and signed by the County Executive or his/her delegate. <br /> CHANGES AND MODIFICATIONS <br /> A. Either party may request changes, amendments, or additions to any portion of this Agreement. <br /> However, no such changes, amendments, or addition to any portion of this Agreement shall be <br /> valid or binding upon either party unless it is in writing and executed by both parties. All <br /> amendments shall be attached to and made part of the amended Agreement. <br /> B. This Agreement may be unilaterally amended by the County or its representative to reflect <br /> changes in state or federal laws, rules, policies, or regulations governing their content. <br /> TERMINATION OR SUSPENSION <br /> A. Termination for Convenience <br /> This Agreement and/or any contract incorporating this Agreement may be terminated, in whole <br /> or in part, by either party upon thirty (30) days advance written notice to the other party. <br /> B. Termination For Lack of Funding <br /> The County reserves the right, by prior written notice, to terminate this Agreement, in whole or <br /> in part, without the thirty days written notice in the event expected or actual funding from a state, <br /> April 14,2004 Basic Terms&Conditions HSD-2004-05-198 <br /> City of Everett <br /> Page 16 <br />
