8 <br /> federal, or other source is withdrawn, reduced, or limited in any way prior to normal contract <br /> completion. <br /> In the event of termination under this clause, the County shall be liable only for payment in <br /> accordance with the terms of the contract for services rendered prior to the effective date of <br /> termination. <br /> C. Suspension or Termination for Lack of Performance <br /> In the event the County determines the Contractor has failed to comply with the conditions of <br /> this Agreement in a timely manner, the County has the right to suspend or terminate the contract <br /> upon a 24-hour prior written notice. <br /> The County reserves the right to suspend all or any part of the contract, and to withhold further <br /> payments or prohibit the Contractor from incurring additional obligations thereunder during <br /> investigation of suspected noncompliance; the County may also take these actions, pending <br /> corrective action by the Contractor, or pending a decision by the County to terminate the <br /> contract. The rights and remedies of the County provided in this Agreement are not exclusive <br /> and are in addition to any other rights and remedies provided by law. <br /> D. Suspension or Termination Procedures <br /> Upon receipt of the notice of suspension or termination of this Agreement, unless otherwise <br /> directed by the County in writing, the Contractor shall: <br /> 1. Stop work under the contract on the date, and to the extent, specified in the notice. <br /> 2. Place no further orders or subcontracts for materials, services, or facilities under that <br /> portion of the contract that has been suspended or terminated. <br /> 3. Complete performance of that part of the contract, if any, that has not been suspended or <br /> terminated. <br /> 4. Take such action as may be necessary for the protection and preservation of the property <br /> related to the contract which is in the possession of the Contractor and in which the <br /> County has or may acquire an interest. <br /> 5. Transfer title to the County of any property that was purchased with funds awarded under <br /> this Agreement or any prior contract involving the same funding source and program <br /> purpose. <br /> SEVERABILITY <br /> It is understood and agreed by the parties hereto that if any part, term, or provision of this Agreement is <br /> determined to be invalid, the remaining provisions shall not be affected thereby and the rights and <br /> April 14, 2004 Basic Terms& Conditions HSD-2004-05-I 98 <br /> City of Everett <br /> 5 9 Page 17 <br />
