8 <br /> obligations of the parties shall be construed and enforced as if the contract did not contain the particular <br /> provision held to be invalid. <br /> If it should appear that any provision is in conflict with any statutory provision of the State of <br /> Washington, the provision shall be deemed modified to conform to such statutory provision. <br /> CONTRACT CLOSE OUT PROCEDURES <br /> A. The Contractor shall submit within thirty (30) days after the date of completion of this <br /> Agreement all financial, performance, and other reports required by the Contract, and, in <br /> addition, shall cooperate in a program or other audit by the County or its designee if the County <br /> determines that a program or other audit is necessary. <br /> B. If a financial audit of this Agreement is conducted, the County retains the right to withhold a just <br /> and reasonable sum from the final payment to the Contractor after fully considering the results of <br /> the final audit. <br /> POLITICAL ACTIVITIES PROHIBITED <br /> No funds awarded under this Agreement may be used to provide voters and prospective voters with <br /> transportation to the polls or to provide similar assistance in connection with any election or any voter <br /> registration activity. No funds may be used for working for or against ballot measures, or for or against <br /> the candidacy of any person for public office. <br /> VENUE STIPULATION <br /> This Agreement has been and shall be construed and interpreted in accordance with the laws of the State <br /> of Washington. The venue of any action brought hereunder shall be Snohomish County. <br /> NOTICES <br /> Unless otherwise directed in writing, notices, reports and payments shall be delivered to the County at <br /> the following address: <br /> Snohomish County Human Services Department <br /> 2722 Colby Avenue, Suite 104 <br /> Everett,WA 98201 <br /> Notices mailed by the County shall be deemed given on the date mailed. Notices received by the <br /> County shall be deemed given on the date received.
