LEASE AMENDMENT No 2 THIS AMENDMENT is executed this day of '2004, by and among Everett, Professional Properties, "Landlord" and City of Everett, "Tenant". RECITALS A. Landlords predecessor in interest, by that certain Lease dated July 30, 1993 leased to Tenant certain real property located in Everett, Washington and premises address of 2730 Colby Avenue, Everett, Washington, 98201. B. On December 15, 2002, the Landlord and Tenant entered into Lease Amendment No. 1 to extend the lease term for one (1) year with the option to extend the term for an additional one (1) year. C. Tenant and Landlord hereby express their mutual desire to renew the lease agreement and to amend, by this writing, those terms, covenants and conditions contained herein. All terms and conditions of the Lease not expressly amended by this writing shall continue in full force and effect throughout the renewal term. NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, it is hereby agreed as follows: 1. Commencement and Term: The renewed term shall commence contemporaneously with the expiration of the existing lease term. The renewed lease term shall be for a period of two (2) years. 2. Rental Payments: Notwithstanding anything to the contrary in the lease document, the new base rental shall be as follows: TERM MONTHLY RENTAL 10-1-04 thru 9-30-06 Gross Monthly Rent $9,462.00 3. Option: The lessee shall have the option of extending the lease for two (2), one-year terms ("Option Term One and Option Term Two") by providing the lessor with a written notice 90 days prior to the expiration of the current extension and option term one. The option shall be at the same terms and conditions of the lease dated July 30, 1993 with the exception of the rent, which shall be $9,462.00 per month.
