7 agreed by the Project Team, the City shall prepare agendas and scheduling periodic meetings of the Project Team,provided that any party may convene a Project Team meeting or place items on the agenda. The Project Team shall meet not less than once a month. Minutes shall be kept of significant Project Team actions. The Project Team may meet using such communication technology, as the Project Team deems appropriate, such as telephonically. The Project Team may establish committees and delegate day-to-day supervisory responsibilities to one or more parties, e.g., appoint a party to administer and supervise the contract with the Consultant. C. Finances 1. The City shall act as fiscal agent for the parties. 2. The maximum to be expended pursuant to this Agreement shall be Twelve Thousand Four Hundred Dollars ($12,400)for the scope of services described as "Exhibit B" "Everett Community Recreation Center Feasibility Study Proposal". 3. Each party shall be responsible for expenses in the following shares: Party % Share City 22% $2,754 School District 11% $1,378 Community College 11% $1,378 Medical Center 11% $1,378 County 11% $1,378 Boys and Girls Club 11% $1,378 YMCA 11% $1,378 Housing Authority 11% $1,378 4. Each party shall promptly reimburse the City for its share of expenses incurred by the City pursuant to this Agreement. D. Withdrawal and Termination 1. Withdrawal Any party may withdraw from this Agreement without cause, or default by any other party, by giving thirty days' written notice to the other parties ("Termination Date"). A withdrawing party shall be responsible for its share of expenses incurred up to the Termination Date. The withdrawing party's share shall then be proportionately allocated to the remaining parties. 2. Termination The parties may agree to terminate this Agreement prior to its expiration. Such agreement shall be by majority vote of the parties. 27 3
